Common use of Laws and Governmental Orders Clause in Contracts

Laws and Governmental Orders. This Agreement and all other agreements contemplated hereby are and will be valid and binding agreements of Seller and Selling Shareholder, enforceable in accordance with their respective terms. Neither the execution nor delivery by Seller or Selling Shareholder of this Agreement or any other agreements contemplated hereby will violate any applicable state or federal law or regulation.
