Common use of Laws and Rules Clause in Contracts

Laws and Rules. 2.1 All Exchanged Traded Options Business shall be effected in accordance with the Governing Rules which apply to Galaxy International Securities. These include, without limitation, the Options Trading Rules, the Clearing Rules of SEOCH and the rules of the HKSCC. In particular, the SEOCH has authority under the Governing Rules to make adjustments to the terms of contracts, Galaxy International Securities shall notify the Client of any such adjustments which affect Client Contracts to which the Client is a party. All actions taken by Galaxy International Securities, the Stock Exchange, the SEOCH or the HKSCC in accordance with such Governing Rules shall be binding on the Client. 2.2 All the rights and authority of Galaxy International Securities or the members of the China Galaxy International pursuant to this Part F shall be subject to the relevant Governing Rules but without limitation to any other rights and remedies which Galaxy International Securities or any member China Galaxy International may have. 2.3 The Client agrees that the terms of the Standard Contract for the relevant options series shall apply to each Client Contract between Galaxy International Securities and the Client, and that all Client Contracts shall be created, exercised, settled and discharged in accordance with the Governing Rules.
