Except for the Electorate Approval, any required approvals in the Chapter 9 Proceeding and approvals which may be required in connection with the transfer of Government Authorizations, as contemplated under Section 2.1, neither the execution and the delivery of this Agreement by Seller, nor the consummation of the transactions contemplated hereby violates or conflicts with any order of any governmental or regulatory authority, any judgment, decree, order or award of any court, arbitrator, administrative agency or governmental authority or, to the knowledge of Seller, any material Government Authorization, or any applicable Law.
