Common use of Legality; Governmental Authorization Clause in Contracts

Legality; Governmental Authorization. The issuance and sale of the Initial Shares to the Purchaser shall not be prohibited by any law or governmental order or regulation. All material consents, approvals, licenses, permits, orders and authorizations of, or registrations, declarations and filings with, any governmental or administrative agency or of or with any third party, with respect to any of the transactions contemplated by this Agreement to be performed at the Initial Closing which must be obtained by the Purchaser shall have been duly obtained or made and shall be in full force and effect.
