Legends on Share Certificates. Any and all certificates representing Shares now or hereafter issued to any person during the term of this agreement (whether such certificates are issued at present or subsequently issued or sold) shall have typed or otherwise written thereon a legend substantially to the following effect: "The shares represented by this certificate are subject to certain restrictions on the right to transfer, sell, assign or otherwise deal with them, pursuant to a shareholders' agreement made as of the 17th day of April, 1997, and notice of the terms and conditions of such agreement is hereby given."
