Lessor Consent Clause Samples

Lessor Consent. Notwithstanding any contrary provision set -------------- forth in this Agreement, the Stockholders shall prior to the Closing obtain and deliver to Buyers any required Lessor Consent for the transaction contemplated by this Agreement.

Lessor Consent. This Amendment is subject to and contingent upon Lessor’s execution of a consent document in a form reasonably acceptable to Sublessor and Sublessee within thirty (30) days of the date hereof. In the event Lessor does not execute such consent within such time, either party may terminate this Amendment (in which case the Original Sublease will remain in full force and effect notwithstanding such termination) upon written notice to the other party, which termination will be effective upon receipt. If this Amendment is terminated pursuant to this Section 16, Sublessor shall return to Sublessee the increased portion of the Security Deposit and the first month’s rent for the Expansion Space if previously paid by Sublessee to Sublessor within fifteen (15) business days after the termination date, and neither party shall have any liability to the other on account of this Amendment or any other actions between the parties prior to the termination date. For clarity, in the event of a termination, Sublessee will not be entitled to any reimbursement for costs or expenses incurred by Sublessee, including without limitation, costs incurred for space planning, ordering of furniture, materials or similar items in preparation for occupancy of the Expansion Space, and Sublessee agrees that Sublessor shall have no liability or responsibility in connection therewith.

Lessor Consent. Sublessee expressly acknowledges that this Sublease is subject to Sublessor obtaining the consent of Lessor pursuant to the provisions of the Lease. Following execution of this Sublease by Sublessee, Sublessee will keep open Sublessee’s offer to enter into this Sublease for a period of fifteen (15) business days while Sublessor endeavors to obtain Lessor’s consent. If Sublessor is unable to obtain Lessor’s consent for any reason within fifteen (15) business days following submission by Sublessee to Sublessor of this Sublease executed by Sublessee, Sublessor may thereafter terminate this Sublease by providing written notice of such termination to Sublessee and neither party shall have any further obligations hereunder, except that Sublessor shall return any prepaid rent or security deposit held by Sublessor to Sublessee. Sublessor shall be responsible to pay any fees due to Lessor in order to obtain Lessor’s consent.

Lessor Consent. Lessor hereby agrees and consents to the Assignment -------------- and all terms and conditions of this Agreement and hereby completely and fully releases Lessee from any further obligations related to or arising out of the Lease Documents as of the date acknowledged below.

Lessor Consent. (a) Pursuant to Section 6(a)(i) of the Lease, Lessor acknowledges and consents to the foregoing sale, assignment, transfer and conveyance of all of the Assignor's right, title, interest, obligations and liabilities in, to and under the Lease to the Assignee under this Assignment and Amendment, and acknowledges the rights and obligations of the Assignee described in this Assignment and Amendment. (b) Lessor further acknowledges and agrees that from and after the Effective Date Assignee shall be deemed the "Lessee" for all purposes of the Lease and each reference in the Lease to the Assignor as "Lessee" shall be deemed after the Effective Date for all purposes to refer to the Assignee and that, from and after the Effective Date Lessor will perform its obligations under the Lease, in all respects as if Assignee were the original party to the Lease as "Lessee" thereunder.

Lessor Consent. Notwithstanding anything to the contrary set forth in this Lease, whenever Lessor’s consent is required pursuant to this Lease (including, but not limited to, requests for consent to alterations, assignments or subletting), such consent shall not be unreasonably withheld, conditioned or delayed and Lessor shall make a decision with respect to such consent no later than ten (10) business days after Lessor’s receipt of Lessee’s request for such consent. Lessor shall be deemed to have consented unless written notice expressly withholding such consent is given to Lessee within such ten (10) business day period.

Lessor Consent. The provisions of Section 12.3 shall apply only if the matter or thing requiring the consent of Sublessor would have required the consent of Lessor in undertaken by Lessee.

Lessor Consent. The consent of the Lessor to Sublease is set forth in the agreement between the parties of even date ("Lessor's Consent"), a copy of which is attached hereto as Exhibit "B".

Lessor Consent. The Company Entities shall use their commercially reasonable efforts to cause the Lessor Consent to be delivered to the Company Entities prior to the Closing.
