Common use of Lessor Indemnification Clause in Contracts

Lessor Indemnification. Lessor and its successors and assigns shall indemnify, defend, reimburse and hold Lessee, its employees and lenders, harmless from and against any and all environmental damages, including the cost of remediation, which result from Hazardous Substances which existed on the Premises prior to Lessee’s occupancy pursuant to the Existing Lease or to the extent or which are caused by the gross negligence or willful misconduct of Lessor, its agents or employees. Lessor’s obligations, as and when required by the Applicable Requirements, shall include, but not be limited to, the cost of investigation, removal, remediation, restoration and/or abatement, and shall survive the expiration or termination of this Lease. No termination, cancellation, or release agreement entered into by Lessor and Lessee shall release Lessor from its obligations under this Lease, with respect to Hazardous Substances, unless specifically so agreed by Lessor in writing at the time of such agreement.

Lessor Indemnification. Lessor and its successors and assigns shall indemnify, defend, reimburse and hold Lessee, its employees and lenders, harmless from and against any and all environmental damages, including the cost of remediationremediation (collectively, “Environmental Costs”), which are suffered as a direct result from of Hazardous Substances which existed on the Premises prior to Lessee’s occupancy pursuant to the Existing Lease or to the extent or Lessee taking possession and shall indemnity, defend, and hold harmless Lessee from and against Environmental Costs which are caused by the gross negligence or willful misconduct of Lessor, its agents or employees. Lessor’s obligations, as and when required by the Applicable Requirements, shall include, but not be limited to, the cost of investigation, removal, remediation, restoration and/or abatement, and shall survive the expiration or termination of this Lease. Subject to Paragraphs 8.6 and 8.8, Lessor’s obligations under this subparagraph (e) shall include, but not be limited to, the effects of any contamination or injury to person, property or the environment created by the gorss negligence or willful misconduct of Lessor, its agents or employees, and shall survive the expiration or termination of this Lease. No termination, cancellation, cancellation or release agreement entered into by Lessor and Lessee shall release Lessor from its obligations under this Lease, Lease with respect to Hazardous Substances, unless specifically so agreed by Lessor Lessee in writing at the time of such agreement.

Lessor and its successors and assigns shall indemnify, defend, reimburse and hold Lessee, its employees and lenders, harmless from and against any and all environmental damages, liabilities, judgments, claims, expenses, penalties, and reasonable attorneys’ and consultants’ fees, including the cost of remediation, which existed as a result from of Hazardous Substances which existed on the Premises prior to Lessee’s occupancy pursuant to the Existing Lease or to the extent Start Date or which are caused by the gross negligence of or willful misconduct of which were materially contributed to by Lessor, its agents or employees. Lessor’s obligations, as and when required by the Applicable Requirements, shall include, but not be limited to, the effects of any contamination or injury to person, property or the environment created by Lessor, and the actual and reasonable cost of investigation, removal, remediation, restoration and/or abatement, and shall survive the expiration or termination of this Lease. No termination, cancellation, cancellation or release agreement entered into by Lessor and Lessee shall release Lessor from its obligations under this Lease, Lease with respect to Hazardous Substances, unless specifically so agreed by Lessor Lessee in writing at the time of such agreement.
