Lessor Obligations Following Expiry Date. Within five (5) Business Days after: (i) redelivery of the Aircraft to Lessor in accordance with and in the condition required by this Agreement; or (ii) payment received by Lessor of the Agreed Value following a Total Loss after the Delivery Date; or in each case such later time as Lessor is reasonably satisfied that Lessee has irrevocably paid to Lessor all amounts that may then be outstanding or become payable under the Transaction Documents and the Other Agreements, Lessor shall (provided that no Default has occurred and is continuing): (a) pay to Lessee an amount equal to the balance of the Security Deposit, if any, paid by Lessee under this Agreement and then held by Lessor; and (b) pay to Lessee the amount of any Rent received in respect of any period falling after the Redelivery Date or the date of payment of the Agreed Value, as the case may be; provided, however, if there is a dispute between Lessor and Lessee as to the amount due to Lessee, Lessor shall nevertheless pay to Lessee such amount as in Lessor's reasonable judgement is not in dispute or is in excess of the amount Lessor's claim is due; and (c) return the Letter of Credit.
