LESSOR'S WORK. Lessor shall, at Lessor’s sole cost and expense, substantially complete the leasehold improvements listed on Exhibit B, at commercial building standards, and in accordance with the Floor Plan attached hereto as Exhibit "A" prior to the Commencement Date (subject to Preamble Section 4 and Section 43 of this Lease) and provide Lessee with an original temporary or final Certificate of Occupancy from the municipal building department for such work. Lessee shall be responsible for the cost of all upgrades and the cost of all furniture, cabinetry, reception desks, work stations, filing systems, shelving, appliances and technology/copies equipment, and the installation of same. Lessee and its vendors shall have access to the Premises at least two weeks prior to the substantial completion by Lessor of Lessor’s Work on Exhibit B to install telephone and computer wiring, workstations and related improvements or fixture work. Lessee's vendors shall have reasonable access to the Building areas outside the suites of the Premises to connect Lessee's suites on different floors of the Building for telephone and computer cabling. Such access shall not constitute possession for purposes of this Lease or trigger the Commencement Date. Lesser covenants and agrees that all work performed by Lessor in connection with the construction of the Premises shall be performed in compliance with applicable laws, insurance requirements, in a good and workmanlike manner and in conformance with the approved construction plans under building permits. All materials installed in the Premises will be new unless Lessee elects to use any materials in the Premises or existing conditions such as ceiling tiles or lighting fixtures. The allowances on Exhibit B, if any, shall be calculated based on the prices charged by each respective contractor who installs such work and without any supervision fees by Lessor or any general contractor or other costs not attributable to such work directly.

LESSOR'S WORK. Lessor shall, at Lessor’s its sole cost and expense, perform the work described in Attachments A-1 and A-2 to this Workletter (collectively, "Lessor's Work") with respect to the Office Space. Lessor shall commence Lessor's Work following execution and delivery of the Lease and this Workletter and proceed with the same in order to substantially complete that portion of Lessor's Work described on Attachment A-1 (the leasehold improvements listed "Initial Base Building Work") on Exhibit Bor before December 1, at commercial building standards1995 (the "Projected Delivery Date") and substantially complete that portion of Lessor's Work described on Attachment A-2 (the "Remaining Base Building Work") on or before the Commencement Date, provided that Lessor shall have no liability for failure to substantially complete on or before the applicable date required hereinabove or to tender the Office Space to Lessee on or before the Projected Delivery Date except to the extent expressly provided in this Workletter or the Lease. For purposes hereof, (a) the Initial Base Building Work shall be deemed to be "substantially complete" if the same is complete to the extent necessary for Lessee to commence construction of Lessee's Work and the Office Space is free of rubbish and debris and in broom clean condition, and in accordance with (b) the Floor Plan attached hereto as Exhibit Remaining Base Building Work shall be deemed to be "Asubstantially complete" prior if the same is complete to the Commencement Date (subject extent necessary for Lessee to Preamble Section 4 and Section 43 of this Lease) and provide Lessee with an original temporary or final Certificate of Occupancy from occupy the municipal building department for such work. Lessor's general contractor and all subcontractors which Lessor or its general contractor uses in the construction of Lessor's Work shall be qualified, insured contractors who are capable of working in harmony with the approved construction plans under building permitscontractors for Lessee's Work (as hereinafter defined). All materials installed Notwithstanding anything set forth in this Workletter to the contrary, Lessor shall be responsible for complying with (i) any law, ordinance, regulation or requirements in effect as of the date hereof relating to the removal or handling of asbestos as they apply to the asbestos in the Premises will rentable areas of the Office Space to be new unless Lessee elects removed as part of the Lessor's Work, and (ii) the Americans with Disabilities Act, as it is in effect as of the date hereof, as it applies to use any materials the installation of the unisex washroom in the Premises or existing conditions such Office Space as ceiling tiles or lighting fixtures. LESSOR'S WORK. in consideration of the extension of the term of the Lease under paragraph 2 above, Lessor shall, shall perform certain work at the Premises as described on Exhibit A attached hereto and made a part hereof (hereinabove and hereinafter referred to as the “Lessor’s sole cost Work”). Lessor shall procure all necessary licenses, permits, approvals and expense, substantially complete the leasehold improvements listed on Exhibit B, at commercial building standardsauthorizations for Lessor’s Work, and shall promptly and diligently construct Lessor’s Work in accordance with the Floor Plan attached hereto as Exhibit "A" prior to the Commencement Date (subject to Preamble Section 4 a good and Section 43 of this Lease) and provide Lessee with an original temporary or final Certificate of Occupancy from the municipal building department for such workworkmanlike manner. Lessee shall reasonably cooperate with Lessor in the scheduling of contractors and subcontractors to complete Lessor’s Work and will make the Premises available as reasonably required to allow the timely prosecution and completion of Lessor’s Work.
