Liabilities and Indebtedness of the Borrower. No Credit Party has any Funded Indebtedness or any liabilities or obligations of any nature whatsoever, except: (i) as disclosed in the financial statements delivered to the Lender as of the date hereof; (ii) the Notes Payable, or (iii) liabilities and obligations incurred in the Ordinary Course of Business of any Credit Party since the date of the financial statements delivered to Lender as of the date hereof, which do not or would not, individually or in the aggregate, exceed Ten Thousand and No/100 United States Dollars ($10,000.00) or otherwise have a Material Adverse Effect.
