Liability for Acts of Sub-Processors Clause Samples
The "Liability for Acts of Sub-Processors" clause establishes that a party, typically a data processor or service provider, remains responsible for the actions and omissions of any sub-processors it engages. In practice, this means that if a sub-processor causes harm, breaches data protection obligations, or fails to meet contractual requirements, the main processor is still liable to the client or data controller for those failures. This clause ensures that the use of third-party sub-processors does not diminish the level of accountability or protection for the client, thereby addressing the risk of liability gaps when services are outsourced.
Liability for Acts of Sub-Processors. Processor shall be liable for the acts and omissions of its Sub-processors to the same extent Processor would be liable if performing the services of each Sub-processor directly under the terms of this DPA.
