Common use of Liability to Third Parties Clause in Contracts

Liability to Third Parties. No Member or officer of the Company or any of their respective affiliates, or any employee, director, officer, agent, shareholder, limited partner, member or general partner of the foregoing, in his or her capacity as such, shall be liable under a judgment, decree, or order of a court, or in any other manner, for any debt, obligation or liability of the Company.

Liability to Third Parties. No Member Except as otherwise expressly provided by the Act, none of the Member, any Manager or officer any Authorized Officer, or any Affiliate of any such Person (other than the Company), will be liable for the debts, obligations or liabilities of the Company (whether arising in contract, tort or any of their respective affiliatesotherwise), or any employeeincluding, director, officer, agent, shareholder, limited partner, member or general partner of the foregoing, in his or her capacity as such, shall be liable under a judgment, decree, decree or order of a court, by reason of being a Member, a Manager, an Authorized Officer or in an Affiliate of any other manner, for any debt, obligation or liability of the Companysuch Person.

Liability to Third Parties. No Except as required by applicable Law or as otherwise expressly provided herein, no Member or officer of shall be liable to any Person (including any Third Party, the Company or to another Member) (a) as the result of any act or omission of their respective affiliatesanother Member or (b) for Company losses, liabilities or any employee, director, officer, agent, shareholder, limited partner, member obligations (except as otherwise expressly agreed to in writing by such Member or general partner as a result of such Member having made available to the foregoing, in his or her capacity as such, shall be liable under a judgment, decree, or order of a court, or in any other mannerCompany, for any debtits proportionate share equal to its Membership Interest, obligation such Member’s insurance program (commercial, self-funded, self-insured or liability of the Companyother similar programs)).

Liability to Third Parties. No Member or officer of the Company or (including any of their respective affiliates, or any employee, director, officer, agent, shareholder, limited partner, member or general partner of the foregoing, in his or her capacity as such, Member who is a Manager) shall be liable for the debts, obligations or liabilities of the Company, including under a judgment, decree, judgment decree or order of a court, or in any other manner, for any debt, obligation or liability by reason of being a Member of the Company.

Liability to Third Parties. Liability to Third Parties. No Except as otherwise provided by the Act, no Member shall be liable for the debts, obligations, or officer liabilities of the Company or any of their respective affiliates(whether arising in contract, tort, or any employeeotherwise), director, officer, agent, shareholder, limited partner, member or general partner of the foregoing, in his or her capacity as such, shall be liable including under a judgment, decree, or order of a court, court or in any other manner, for any debt, obligation or liability of the Companyarbitrator.

Liability to Third Parties. No Except as otherwise expressly provided by the LLC Act, neither the Member nor any Special Member nor any Manager shall be liable personally for the debts, obligations or officer liabilities of the Company (whether arising in contract, tort or otherwise), including, without limitation, any of their respective affiliatesdebts, obligations or any employee, director, officer, agent, shareholder, limited partner, member or general partner liabilities of the foregoing, in his or her capacity as such, shall be liable Company arising under a judgment, decree, decree or order of a court, solely by reason of such Person being the Member, or in any other manner, for any debt, obligation a Special Member or liability Manager of the Company.

Liability to Third Parties. No Member Except as otherwise expressly provided by the Act or officer in this Agreement, none of the Member, any Manager or any Authorized Officer, or any Affiliate of any such Person (other than the Company), will be liable for the debts, obligations or liabilities of the Company (whether arising in contract, tort or any of their respective affiliatesotherwise), or any employeeincluding, director, officer, agent, shareholder, limited partner, member or general partner of the foregoing, in his or her capacity as such, shall be liable under a judgment, decree, decree or order of a court, solely by reason of being a Member, a Manager, an officer or in an Affiliate of any other manner, for any debt, obligation or liability of the Companysuch Person.

No Except as provided in this Section 7.01, no Member or officer of the Company or any of their respective affiliates, or nor any employee, directorDirector, officer, agent, shareholder, limited partner, member partner or general partner of the foregoing, a Member in his or her capacity as such, such shall be liable under a judgment, decree, or order of a court, or in any other manner, for any debt, obligation or liability of the Company.

Liability to Third Parties. No Member or officer of the Company or any of their respective affiliates, or any employeeofficer, director, officer, agent, shareholder, limited partnermanager, member or general partner of the foregoingsuch Member, in his or her capacity as suchsolely by reason of being a Member, shall be liable for the debts, obligations or liabilities of the Company, including under a judgment, decree, decree or order of a court, or in any other manner, for any debt, obligation or liability of the Company.

Liability to Third Parties. No Member Except as otherwise expressly provided by the Act or officer in this Agreement, none of the Member, any Manager or any Authorized Officer, or any Affiliate of any such Person (other than the Company), will be liable for the debts, obligations or liabilities of the Company (whether arising in contract, tort or any of their respective affiliatesotherwise), or any employeeincluding, director, officer, agent, shareholder, limited partner, member or general partner of the foregoing, in his or her capacity as such, shall be liable under a judgment, decree, decree or order of a court, by reason of being a Member, a Manager, an officer or in an Affiliate of any other manner, for any debt, obligation or liability of the Companysuch Person.

Liability to Third Parties. No Except as provided in this Section 6.01, neither the Member or officer of the Company or any of their respective affiliates, or nor any employee, director, officer, agent, shareholder, limited partner, member partner or general partner of the foregoingMember in his, in his her or her its capacity as such, shall be liable under a judgment, decree, decree or order of a court, or in any other manner, for any debt, obligation or liability of the Company.

Liability to Third Parties. No Member or officer of the Company or any of their respective affiliates, or any employee, director, officer, agent, shareholder, limited partner, member or general partner manager of the foregoing, in his or her capacity as such, shall be liable under a judgment, decree, or order of a court, or in any other manner, for any debt, obligation or liability of the Company.

Liability to Third Parties. No Unless provided by law or expressly assumed, a person who is a Member or officer Manager, or both, shall not be liable for the acts, debts or liabilities of the Company or any of their respective affiliatesCompany, or any employee, director, officer, agent, shareholder, limited partner, member or general partner of the foregoing, in his or her capacity as such, shall be liable including those under a judgment, decree, decree or order of a court, or in any other manner, for any debt, obligation or liability of the Company.

Liability to Third Parties. No None of the Member or officer of the Company or any of their respective affiliates, or any employeeofficer, director, officermanager, agentmember, shareholderpartner or Affiliate of such Member, limited partnershall, member or general partner solely by reason of the foregoingMember being the Member, in his or her capacity as such, shall be liable for the Debts, obligations or liabilities of the Company, including (to the fullest extent permitted by law) under a judgment, decree, decree or order of a court, or in any other manner, for any debt, obligation or liability of the Company.

Liability to Third Parties. No Member Except as otherwise expressly provided by the Act or officer in this Agreement, none of the Member, any Manager or any Authorized Officer, or any Affiliate of any such Person (other than the Company), will be liable for the debts, obligations or liabilities of the Company (whether arising in contract, tort or any of their respective affiliatesotherwise), or any employeeincluding, director, officer, agent, shareholder, limited partner, member or general partner of the foregoing, in his or her capacity as such, shall be liable under a judgment, decree, decree or order of a court, solely by reason of being a Member, a Manager, a Special Member, an officer or in an Affiliate of any other manner, for any debt, obligation or liability of the Companysuch Person.

Liability to Third Parties. No Except as provided in this Section 7.01, neither the Member or officer of the Company or any of their respective affiliates, or nor any employee, director, officer, agent, shareholder, limited partner, member partner or general partner of the foregoing, Member of the Company in his or her capacity as such, such shall be liable under a judgment, decree, or order of a court, or in any other manner, for any debt, obligation or liability of the Company.

Liability to Third Parties. No Except as otherwise required by the Act, no Manager and no Member or officer any Affiliate, officer, director, manager, partner, employee or other agent of such Member, solely by reason of being a Member or a Manager, shall be liable for the debts, obligations or liabilities of the Company or any of their respective affiliates, or any employee, director, officer, agent, shareholder, limited partner, member or general partner of the foregoing, in his or her capacity as such, shall be liable under a judgment, decree, or order of a court, or in any other manner, for any debt, obligation or liability of the CompanyMember.

Liability to Third Parties. No Member Except as otherwise provided in the Act or in this Agreement, no Member, Manager or officer of the Company or any of their respective affiliates, or any employee, director, officer, agent, shareholder, limited partner, member or general partner of the foregoing, in his or her capacity as such, shall be liable under a judgment, decree, or order of a court, or in any other manner, obligated personally for any debt, obligation or liability of the Company, whether arising in contract, tort or otherwise, solely by reason of being a Member or Manager or an officer.

Liability to Third Parties. No Member Except as provided in this Section 9.01, no Member, Director or officer Officer of the Company or any of their respective affiliatesAffiliates, or any employee, director, officer, agent, shareholder, limited partner, member or general partner of the foregoing, in his his, her or her its capacity as such, shall be liable under a judgment, decree, decree or order of a court, or in any other manner, for any debt, obligation or liability of the Company.
