Common use of Liability Clause in Contracts

Liability. 24.1 Subject to incorporated Framework Agreement clauses 4.1 to 4.6, each Party's Yearly total liability for Defaults under or in connection with this Call-Off Contract shall not exceed the greater of five hundred thousand pounds (£500,000) or one hundred and twenty-five per cent (125%) of the Charges paid and/or committed to be paid in that Year (or such greater sum (if any) as may be specified in the Order Form). 24.2 Notwithstanding Clause 24.1 but subject to Framework Agreement clauses 4.1 to 4.6, the Supplier's liability: 24.2.1 pursuant to the indemnities in Clauses 7, 10, 11 and 29 shall be unlimited; and 24.2.2 in respect of Losses arising from breach of the Data Protection Legislation shall be as set out in Framework Agreement clause 28. 24.3 Notwithstanding Clause 24.1 but subject to Framework Agreement clauses 4.1 to 4.6, the Buyer’s liability pursuant to Clause 11.5.2 shall in no event exceed in aggregate five million pounds (£5,000,000). 24.4 When calculating the Supplier’s liability under Clause 24.1 any items specified in Clause 24.2 will not be taken into consideration.

For the purposes of this Call-Off Contract, the Data Protection Liability Cap shall be adjusted to £500,000. 24.3 Notwithstanding Clause 24.1 but subject to Framework Agreement clauses 4.1 to 4.6, the Buyer’s liability pursuant to Clause 11.5.2 shall in no event exceed in aggregate five million pounds (£5,000,000). 24.4 When calculating the Supplier’s liability under Clause 24.1 any items specified in Clause 24.2 will not be taken into consideration.
