Common use of License Conditions Clause in Contracts

License Conditions. ‌ 3.1 The license granted in Section 2 above is subject to your compliance with the following explicit conditions and your violation of any such conditions constitutes a breach of this Agreement and is beyond the scope of such license. Specifically, you agree not to: (a) commercially exploit the Software; (b) distribute, lease, license, sell, rent, convert into convertible currency, or otherwise transfer or assign the Software, or any copies of the Software, including but not limited to virtual goods or virtual currency without the express prior written consent of Licensor or as expressly set forth in this Agreement; (c) make a copy of the Software or any part thereof (other than as set forth herein); (d) make a copy of the Software available on a network for use or download by multiple users; (e) except as otherwise specifically provided by the Software or this Agreement, use or install the Software (or permit others to do same) on a network, for online use, or on more than one computer or gaming unit at the same time; (f) copy the Software onto a non intended storage device in order to bypass the requirement to run the Software from the original online distribution method provided by the Licensor (this prohibition does not apply to copies in whole or in part that may be made by the Software itself during installation in order to run more efficiently); (g) use or copy the Software at a computer gaming center, conference, convention, or any other location-based site for anything other than personal use; provided, that Licensor may offer you a separate license agreement to make the Software available for commercial use; (h) reverse engineer, decompile, disassemble, display, perform, prepare derivative works based on, or otherwise modify the Software, in whole or in part; (i) remove or modify any proprietary notices, marks, or labels contained on or within the Software; (j) restrict or inhibit any other user from using and enjoying any online features of the Software; (k) cheat or utilize any unauthorized robot, spider, or other program in connection with any online features of the Software; (l) violate any terms, policies, licenses, or code of conduct for any online features of the Software; or (m) transport, export, or re-export (directly or indirectly) into any country forbidden to receive the Software by any U.S. export laws or regulations or U.S. economic sanctions or otherwise violate any laws or regulations, or the laws of the country in which the Software was obtained, which may be amended from time to time.

Specifically, you agree not NOT to: (a) commercially exploit exploit, in whole or in part, the Software, unless expressly permitted hereunder; (b) distribute, lease, license, sell, rent, convert into convertible currency, or otherwise transfer or assign the Software, or any copies of the Software, including but not limited to virtual goods or virtual currency (including, without limitation, In-app Purchases or Game Tokens, each defined below) without the express prior written consent of Licensor or as expressly set forth in this Agreement; (c) make a copy of the Software or any part thereof (other than as set forth herein); (d) make a copy of the Software available on a network for use or download by multiple users; (e) except as otherwise specifically provided by the Software or this Agreement, use or install the Software (or permit others to do same) on a network, for online use, or on more than one computer or gaming unit at the same time; (f) copy the Software onto a non intended hard drive or other storage device in order to bypass the requirement to run the Software from the original online distribution method provided by the Licensor on specific validly licensed hardware (this prohibition does not apply to copies in whole or in part that may be made by the Software itself during installation in order to run more efficiently); (g) use or copy the Software at a computer gaming center, conference, convention, or any other location-based site for anything other than personal use; provided, that Licensor may offer you a separate license agreement to make the Software available for commercial use; (h) reverse engineer, decompile, disassemble, display, perform, prepare derivative works based on, or otherwise modify the Software, in whole or in part; (i) remove remove, modify, or modify obscure any proprietary notices, marks, or labels (including copyright, trademark notices, or trade names) contained on or within the Software; (j) use any trademark or trade name of Licensor or its affiliates in a way that is likely or intended to imply the permission or endorsement of Licensor, or cause confusion about the owner or authorized user of such marks, names or logos; (k) restrict or inhibit any other user from using and enjoying any online features of the Software; (kl) cheat or utilize any unauthorized robot, spider, or other program in connection with any online features of the Software; (lm) violate any terms, policies, licenses, or code of conduct for any online features of the Software; or (mn) transport, export, or re-export (directly or indirectly) into any country forbidden to receive the Software by any U.S. German, EU, or US export laws laws, or regulations regulations, or German, EU, or U.S. economic sanctions sanctions, or otherwise violate any laws or regulations, or the laws of the country in which the Software was obtained, which may be amended from time to time.

Specifically, you You agree not to: (a) , and not to provide guidance or instruction to any other individual or entity on how to: - commercially exploit the Software; (b) ; - use the Software in connection with an agreement with other individuals to wager any money or other thing of value; - distribute, lease, license, sell, rent, convert into convertible currency, or otherwise transfer or assign the Software, or any copies of the Software, including but not limited to virtual goods Virtual Goods or virtual currency Virtual Currency (defined below) without the express prior written consent of Licensor or as expressly set forth in this Agreement; (c) ; - make a copy of the Software or any part thereof (other than as set forth herein); (d) ; - make a copy of the Software available on a network for use or download by multiple users; (e) ; - except as otherwise specifically provided by the Software or this Agreement, use or install the Software (or permit others to do same) on a network, for online on-line use, or on more than one computer or gaming unit at the same time; (f) ; - copy the Software onto a non intended hard drive or other storage device in order to bypass the requirement to run the Software from the original online distribution method provided by the Licensor included CD-ROM or DVD-ROM (this prohibition does not apply to copies in whole or in part that may be made by the Software itself during installation in order to run more efficiently); (g) ; - use or copy the Software at a computer gaming center, conference, convention, center or any other location-based site for anything other than personal usesite; provided, that Licensor may offer you a separate license agreement to make the Software available for commercial use; (h) ; - reverse engineer, decompile, disassemble, display, perform, prepare derivative works based on, or otherwise modify the Software, in whole or in part; (i) ; - remove or modify any proprietary notices, marks, or labels contained on or within the Software; (j) ; - restrict or inhibit any other user from using and enjoying any online features of the Software; ; - cheat (kincluding but not limited to utilizing exploits or glitches) cheat or utilize any unauthorized robot, spider, or other program in connection with any online features of the Software; (l) ; - violate any terms, policies, licenses, or code of conduct for any online features of the Software; or (m) or - transport, export, or re-export (directly or indirectly) into any country forbidden to receive the Software by any U.S. export laws or regulations or U.S. economic sanctions or otherwise violate any laws or regulations, or the laws of the country in which the Software was obtained, which may be amended from time to time. ACCESS TO SPECIAL FEATURES AND/OR SERVICES, INCLUDING DIGITAL COPIES: Software download, redemption of a unique serial code, registration of the Software, membership in a third-party service and/or membership in a Licensor service (including acceptance of related terms and policies) may be required to activate the Software, access digital copies of the Software, or access certain un-lockable, downloadable, online, or other special content, services, and/or functions (collectively, "Special Features"). Access to Special Features is limited to a single User Account (as defined below) per serial code and access to Special Features cannot be transferred, sold, leased, licensed, rented, converted into convertible virtual currency, or re-registered by another user unless otherwise expressly specified. The provisions of this paragraph supersede any other term in this Agreement.

You agree that you will not do, you agree not to: or allow, any of the following: (a1) commercially exploit the Software; Program commercially; (b2) distribute, lease, license, sell, rent, convert into convertible currency, or otherwise transfer or assign the Software, or subject to any copies of the Software, including but not limited to virtual goods or virtual currency without the express prior written consent of Licensor or as expressly set forth in this Agreement; (c) make a copy of the Software or any part thereof (other than as set forth herein); (d) make a copy of the Software available on a network for use or download by multiple users; (e) except as otherwise specifically provided by the Software or this Agreementsystem requirements, use or install the Software (or permit others to do same) on a network, for online use, or Program on more than one computer or gaming unit system at the same time; ; (f3) copy make copies of the Software onto a non intended storage device in order to bypass the requirement to run the Software from the original online distribution method provided by the Licensor (this prohibition does not apply to copies in whole or in part that may be made by the Software itself during installation in order to run more efficiently); (g) use or copy the Software at a computer gaming center, conference, convention, or any other location-based site for anything other than personal use; provided, that Licensor may offer you a separate license agreement to make the Software available for commercial use; (h) reverse engineer, decompile, disassemble, display, perform, prepare derivative works based on, or otherwise modify the SoftwareProgram, in whole or in part; ; (i4) remove without limiting the foregoing clause (3), copy the Program onto a hard drive or modify other storage device unless the Program itself makes a copy during installation, or unless you are downloading the Program from an authorized Activision online retailer; (5) use the Program in a network, multi-user arrangement, or remote access arrangement, including any online use except as included in the Program functionality; (6) sell, rent, lease, license, distribute, or otherwise transfer the Program; (7) subject to applicable laws, reverse engineer (unless expressly permitted by Activision), derive source code, modify, decompile, disassemble, or create derivative works of the software and other proprietary technology in the Program, in whole or in part; (8) create, develop, modify, offer, make available, distribute, host, promote, advertise, or use any unauthorized software programs to gain advantage in any offline, online or multiplayer game modes, including, but not limited to, cheats, automation software (bots), modded lobbies, hacks, mods, or engaging in any form of cheating, boosting or booting (such behavior will be subject to sanction at Activision’s discretion; for more information see the Program’s applicable Security and Enforcement Policy available at ▇▇▇▇▇▇▇.▇▇▇▇▇▇▇▇▇▇.▇▇▇) (9) remove, disable, or circumvent any proprietary notices, marks, notices or labels contained on or within the Software; Program; or (j10) restrict use, access, download, or inhibit any other user from using otherwise export, reexport, or transfer the Program in contravention of applicable export control, economic sanctions, and enjoying any online features import laws and regulations, including, but not limited to, the U.S. Export Administration Regulations (“EAR”) and regulations promulgated by the U.S. Department of the Software;Treasury’s Office of Foreign Assets Control (“OFAC”). B. Unless expressly permitted by Activision and subject to applicable local laws, YOU AGREE NOT TO PERMIT THE SOFTWARE IN THE PERIPHERAL OR ANY PART OF IT TO BE COMBINED WITH, BECOME INCORPORATED IN, OR USED WITH ANY SOFTWARE PRODUCT OTHER THAN THE PROGRAM. ALL RIGHTS GRANTED TO YOU UNDER THIS AGREEMENT (kINCLUDING YOUR USE OF THE SOFTWARE IN THE PERIPHERAL) cheat WILL TERMINATE IMMEDIATELY IN THE EVENT THAT YOU ARE IN BREACH OF ANY OF THE TERMS OF THIS AGREEMENT, THIS PARAGRAPH OR DO ANYTHING WITH ANY SOFTWARE IN THE PERIPHERAL THAT IS NOT EXPRESSLY PERMITTED BY THIS AGREEMENT. ALL RIGHTS GRANTED TO YOU UNDER THIS AGREEMENT (INCLUDING YOUR USE OF THE SOFTWARE IN THE PERIPHERAL) WILL TERMINATE IMMEDIATELY IN THE EVENT THAT YOU SERIOUSLY VIOLATE THE TERMS OF THIS AGREEMENT. VIOLATION OF THIS SECTION B OR DOING ANYTHING WITH ANY SOFTWARE IN THE PERIPHERAL THAT IS NOT EXPRESSLY PERMITTED BY THIS AGREEMENT IS A SERIOUS VIOLATION OF THIS AGREEMENT. C. You agree not to do any of the following while using the Program: (A) harass, threaten, embarrass or utilize any unauthorized robotcause distress or discomfort upon another participant, spideruser, or other program individual or entity; (B) transmit any UGC (as defined in connection with Section 14) that Activision considers to be disruptive, unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, hateful, or racially, sexually, ethnically or otherwise objectionable; (C) impersonate any online features person or entity, including but not limited to Activision; (D) disrupt normal Program functionality, or otherwise act in a manner that negatively affects other participants and/or the overall Program experience; (E) post or transmit any unsolicited advertising, promotional materials, or any other forms of solicitation; (F) intentionally or unintentionally violate any applicable law, regulation or treaty while using or accessing the Program; (G) post multiple posts of the Software; same content (l) violate any termsi.e., policies, licenses, or code of conduct for any online features of the Software“spam”); or (m) transport, export, or re-export (directly or indirectly) into any country forbidden to receive the Software by any U.S. export laws or regulations or U.S. economic sanctions or otherwise violate any laws or regulations, or the laws of the country in which the Software was obtained, which may be amended from time to time.

ALL RIGHTS GRANTED TO YOU UNDER THIS AGREEMENT (kINCLUDING YOUR USE OF THE SOFTWARE IN THE PERIPHERAL) cheat WILL TERMINATE IMMEDIATELY IN THE EVENT THAT YOU ARE IN BREACH OF ANY OF THE TERMS OF THIS AGREEMENT, THIS PARAGRAPH OR DO ANYTHING WITH ANY SOFTWARE IN THE PERIPHERAL THAT IS NOT EXPRESSLY PERMITTED BY THIS AGREEMENT. ALL RIGHTS GRANTED TO YOU UNDER THIS AGREEMENT (INCLUDING YOUR USE OF THE SOFTWARE IN THE PERIPHERAL) WILL TERMINATE IMMEDIATELY IN THE EVENT THAT YOU SERIOUSLY VIOLATE THE TERMS OF THIS AGREEMENT. VIOLATION OF THIS SECTION B OR DOING ANYTHING WITH ANY SOFTWARE IN THE PERIPHERAL THAT IS NOT EXPRESSLY PERMITTED BY THIS AGREEMENT IS A SERIOUS VIOLATION OF THIS AGREEMENT. C. You agree not to do any of the following actions while using the Program: (A) harass, threaten, embarrass or utilize any unauthorized robotcause distress or discomfort upon another participant, spideruser, or other program individual or entity; (B) transmit any UGC (as defined in connection with Section 14) that Activision considers to be disruptive, unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, hateful, or racially, sexually, ethnically or otherwise objectionable; (C) impersonate any online features person or entity, including but not limited to Activision; (D) disrupt normal Program functionality, or otherwise act in a manner that negatively affects other participants and/or the overall Program experience; (E) post or transmit any unsolicited advertising, promotional materials, or any other forms of solicitation; (F) intentionally or unintentionally violate any applicable law, regulation or treaty while using or accessing the Program; (G) post multiple posts of the Software; same content (l) violate any termsi.e., policies, licenses, or code of conduct for any online features of the Software“spam”); or (m) transport, export, or re-export (directly or indirectly) into any country forbidden to receive the Software by any U.S. export laws or regulations or U.S. economic sanctions or otherwise violate any laws or regulations, or the laws of the country in which the Software was obtained, which may be amended from time to time.

Specifically, you agree not toYou will not: (ai) commercially exploit the Software; (bii) distribute, lease, license, sell, rent, convert into convertible currencylend, convey or otherwise transfer or assign the Software, any passwords or usernames or any copies of the Software, including but not limited to virtual goods or virtual currency without the express prior written consent of Licensor Marmalade or as expressly set forth in this Agreement; (ciii) make a copy of the Software or any part thereof (other than as set forth herein); (div) make a copy of the Software publicly available or available on a network for use or download by multiple users; (ev) except as otherwise specifically provided by the Software or this Agreement, use or install the Software (or permit others to do same) on a network, for online on-line use, or on more than one computer or gaming unit Device at the same time; (f) copy the Software onto a non intended storage device in order to bypass the requirement to run the Software from the original online distribution method provided by the Licensor (this prohibition does not apply to copies in whole or in part that may be made by the Software itself during installation in order to run more efficiently); (gvi) use or copy the Software at a computer gaming center, conference, convention, center or any other location-based site for anything other than personal usesite; provided, that Licensor Marmalade may offer you a separate site license agreement to make the Software available for commercial use; (hvii) reverse engineer, decompile, disassemble, display, performtranslate, prepare derivative works based on, on or otherwise modify the Software, in whole or in part; (iviii) remove remove, obscure or modify any copyright, trademark or other proprietary rights notices, marks, marks or labels contained on or within the Software, falsify or delete any author attributions, legal notices or other labels of the origin or source of the material; (jix) restrict or inhibit any other user from using and enjoying any online features misrepresent the source of ownership of the Software; (k) cheat or utilize any unauthorized robot, spider, or other program in connection with any online features of the Software; (l) violate any terms, policies, licenses, or code of conduct for any online features of the Software; or (mx) transport, export, export or re-export (directly or indirectly) into any country forbidden to receive the such Software by any U.S. U.S., European Union or other export laws or accompanying regulations or U.S. economic sanctions or otherwise violate any such laws or regulations, or the laws of the country in which the Software was obtained, which that may be amended from time to time; or (xi) scrape, build databases or otherwise create permanent copies of content returned from the Software. The Software is intended for private use only. The Software may include measures to control access to the Software, prevent unauthorized copies, or otherwise attempt to prevent anyone from exceeding the limited rights and licenses granted under this Agreement. Only Software subject to a valid license can be used to access online services, and download updates and patches. You may not interfere with such access control measures or attempt to disable or circumvent such security features. If you disable or otherwise tamper with the technical protection measures, the Software will not function properly. The Software may allow you to create content, including but not limited to photos incorporating elements or graphics from the game, screenshots or a video of your gameplay. In exchange for use of the Software, and to the extent that your contributions through use of the Software give rise to any copyright, you hereby grant Marmalade an exclusive, perpetual, irrevocable, fully transferable and sub-licensable worldwide right and license to use your contributions in any way and for any purpose including, but not limited to the rights to reproduce, copy, adapt, modify, perform, display, publish, broadcast, transmit, or otherwise communicate to the public by any means whether now known or unknown and distribute your contributions without any further notice or compensation to you of any kind for the whole duration of protection granted to intellectual property rights by applicable laws and international conventions. If not expressly prohibited by mandatory legislation, you hereby waive any moral rights of paternity, publication, reputation, or attribution with respect to Marmalade's and other players' use and enjoyment of such assets in connection with the Software and related goods and services under applicable law. This license grant to Marmalade, and the above waiver of any applicable moral rights, survives any termination of this License. The Software may require an internet connection to access the Software or its internetbased features, authenticate the Software, or perform other functions.
