Common use of License Following Expiration Clause in Contracts

License Following Expiration. Following the Royalty Expiration Date specified in Section 5.1(b) below, and provided that this Agreement has not been terminated by Schering under Section 10.2(a) or by 3DP under Section 10.2(b) or 10.2(c), Schering shall, in each country of the world, have an exclusive (even as to 3DP), paid-up, sub-licensable license under 3DP Know- How to research, develop, make, have made, use, sell and import for sale Licensed Compounds and Licensed Products.
