License to Licensor Clause Samples

License to Licensor. Subject to the terms of this Agreement, Licensee hereby grants Licensor an exclusive (even as to Licensee and its Affiliate) and royalty free license under Licensee IP to Develop, make, have made, use, sell, offer for sale, import and otherwise Commercialize the Products outside the Territory.
License to Licensor. Upon any termination of the Exclusive License, except pursuant to Section 13.2.2 or 13.2.3 or pursuant to Licensee’s termination of this Agreement pursuant to Section 13.3 (pursuant to a breach by Licensor), Licensee shall be automatically deemed to grant to Licensor a worldwide, nonexclusive, irrevocable, royalty-free, sublicensable license in the Territory under the Licensee ADC Know-How and Licensee ADC Patents to identify, develop and commercialize products that contain an ADC consisting of an Antibody that binds specifically to the Designated Antigen.
License to Licensor. Subject to the terms and conditions of this Agreement, including section 8.1, Licensee hereby grants to Licensor an exclusive (even as to Licensee), fully paid, royalty-free right and license (with the right to grant sublicenses), under the Licensee Know How, to (a) develop Product in the Field in order to obtain or maintain Regulatory Approval in the Licensor Territory, and (b) make, use, sell, offer for sale, import, distribute, warehouse, market, promote, apply for and submit applications for Drug Approval, Pricing Approval and Reimbursement Approval, and otherwise commercialize Product in the Field in the Licensor Territory.
License to Licensor. Subject to Licensor’s compliance with the provisions of Section 4.4 below, Licensee hereby grants Licensor a limited, non-exclusive, and non-transferable right and license to access, use, modify, analyze, maintain, process, and create derivative works of the Data for the sole purposes of: (i) enabling Licensor to perform its obligations hereunder; (ii) updating, upgrading, modifying, extending, enhancing, and improving the Licensed Materials; (iii) customization of an implant, custom implant tools, advance planning of implant procedures, matching of implants with patient anatomy for procedure for the applicable patient and analysis related to implant outcomes, and related health care operations, such as for purposes of statistical analysis, future implant design, reference, research, data analysis, and software improvement), and (iv) assisting Licensor in the development of its other software products outside of the Field of Use. Notwithstanding the foregoing, in no event may Licensor sell, distribute, rent, lease, license, or transfer the Data in whole or in part, and will at all times treat the Data as Confidential Information of Licensee. Additionally, Licensee acknowledges and agrees that Licensor shall have the right during the Term and at any time thereafter to use any De-identified Data (as defined in Section 4.5) for Licensor’s internal business purposes, including commercialization thereof, whether or not in the Field of Use. For the avoidance of doubt, the use of any De-identified Data of the Data shall not be deemed Data.
License to Licensor. Effective upon termination of this Agreement by Licensor pursuant to Section 10.2 or by Novartis pursuant to Section 10.3, Novartis will grant Licensor an exclusive worldwide, fee-bearing (subject to Section 11.3) license, with the right to grant sublicenses [***] under its interest in the Product Marks to Develop, manufacture, and Commercialize Reversion Products in the Field that are being Commercialized as of the effective date of termination.
License to Licensor. Subject to the terms and conditions of this Agreement (including the confidentiality obligations in ARTICLE 7), ▇▇▇▇▇▇▇ hereby grants, on behalf of itself and its Affiliates, to Licensor, a non-exclusive, worldwide, perpetual, irrevocable, fully paid-up license, with no right to sublicense other than to Affiliates of Licensor and subcontractors acting on Licensor’s or its Affiliates’ behalf, under ▇▇▇▇▇▇▇’▇ and its Affiliates’ interest in any Know- How that is disclosed to Licensor under this Agreement, for any purpose other than the Exploitation of the Licensed Compounds and Licensed Products in the Field in the Territory; provided, however, that such license does not include a right to practice any Patents. For clarity, the foregoing license grant does not give Licensor the right to disclose any Confidential Information of ▇▇▇▇▇▇▇, except as provided in Section 7.3.
License to Licensor. Subject to the terms and conditions of this Agreement, Licensee hereby grants to Licensor and Licensor hereby accepts, a non-exclusive, fully paid up license (with the right to sublicense) to receive and use all information, data and regulatory documentation generated by Licensee and its Affiliates, agents and sub-licensees relating to the Compound and/or any Product for any purpose outside the Field. Licensee hereby grants to Licensor and Licensor hereby accepts, a non-exclusive, fully paid up license (with the right to sublicense) to any improvements to the Licensor Patent Rights for any purpose outside the Field. License to Licensor. Subject to the provisions and terms of this Agreement, Licensee hereby grants to Licensor a non-exclusive, royalty-free, sublicenseable license under the Licensee Patents and Licensee Know-How in the Territory, solely to the extent necessary to enable Licensor to perform or have performed its responsibilities under this Agreement.
License to Licensor. During the Term and subject to the terms and conditions herein Licensee grants Licensor a non-exclusive, world-wide, and royalty-free license to reproduce and use Licensee's trademarks and service marks set forth in Licensee’s Trademark Schedule on Exhibit A (“Licensee’s Trademarks”) to indicate that Licensee executed this Agreement, and/or is a part of the association of members committed to making Donations, and/or supports the goals of Licensor in encouraging companies to make Donations. Licensor will use Licensee’s Trademarks in accordance with the provisions of this license and Licensee’s then- current trademark guidelines, as may be provided in advance by Licensee and updated from time to time by Licensee provided that a prior written notice is given to Licensor. Licensor will use Licensee’s Trademarks in a manner that does not derogate Licensee’s rights in the Licensee’s Trademarks or the value of the Licensee’s Trademarks and will take no action that would interfere with, diminish or tarnish Licensee’s rights or the value of Licensee’s Trademarks. Licensee represents that it owns all right, title and interest in and to Licensee’s Trademarks. All use of the Licensee Trademarks by Licensor will inure to the benefit of Licensee. Licensee hereby represents and warrants to Licensor that Licensee’s Trademarks does not infringe intellectual property rights of third parties.
License to Licensor. For so long as this Agreement is in effect, Licensee hereby grants to Licensor, and Licensor hereby accepts, a limited, irrevocable, non-exclusive, royalty-free license to use and display the trademarks and images of the Products of Licensee on Licensor's websites, social media channels and in Licensor's marketing and promotional materials, solely for the purpose of Licensor promoting its own trademarks, products and services.
