Licensed Know-How. Sanofi or its Affiliates Controls the Licensed Know-How set forth in Schedule 1.63. To the knowledge of the Sanofi personnel involved with such matters, the Licensed Know-How listed in Schedule 1.64 contains all the Information and Inventions that were created by or on behalf of Sanofi in the Development of the Licensed Compounds.
Licensed Know-How. On a Collaboration Target-by-Collaboration Target basis, CRISPR will promptly, but no later than [***] after Vertex exercises its Option for such Collaboration Target hereunder, make available and, at Vertex’s request, deliver to Vertex or one or more designated Affiliates all documented Licensed Know-How in CRISPR’s possession that has not previously been provided hereunder, for use in accordance with the exercise of the applicable Exclusive License. To assist with the transfer of such Licensed Know-How, CRISPR will make its personnel reasonably available to Vertex during normal business hours to transfer such Licensed Know-How under this Section 5.5.2 and Vertex will reimburse CRISPR for the reasonable costs of such assistance at the FTE Rate within 30 days after its receipt of an invoice therefor.
Licensed Know-How. For purposes of this Supplemental Agreement and the 1999 Agreements, Licensed Know-How shall mean (a) all information, inventions, technology, and data regarding the PulmoSphere®Technology, the MediSpheres™ Technology, or the Bioavailability Technology which is not generally known and which is necessary or useful for Inhale to develop, manufacture, commercialize, or use Products, in which Alliance now has an ownership or licensable interest, and (b) all information and data regarding Licensable Improvements which is not generally known and which is necessary or useful for Inhale to develop, manufacture, commercialize or use Products, in which Alliance acquires an ownership or licensable interest.
Licensed Know-How. Licensee will keep Licensed Know-How confidential subject to Section 13.1 of this Agreement.

Licensed Know-How. Subject to the terms and conditions of this Agreement, including Pfizer’s retained rights set forth in Section 2.3, Pfizer hereby grants to Licensee an exclusive, sublicensable (subject to Section 2.2), royalty-bearing license under the Licensed Know-How to use, have used, Develop, have Developed, Manufacture, have Manufactured, Commercialize, have Commercialized and otherwise exploit Compound and Products in the Field within the Territory.
