Licensor's First Right of Enforcement. Licensor will have the first right to bring and control any legal action in connection with Licensed Patents, Licensed Trade Dress, Licensed Know How, Licensor Inventions and Joint Inventions at Licensor's own expense as it reasonably determines appropriate. If Licensor fails to bring an action, then Licensee shall have the right to bring and control any such action by counsel of its own choice, at Licensee's cost and expense in the Territory.
