Common use of Licensor’s Representations and Warranties Clause in Contracts

Licensor’s Representations and Warranties. Licensor represents and warrants to Licensee that: (a) It has the full right, power and authority to grant the rights herein granted to Licensee, including without limitation the right to license the Trademarks in accordance with this Agreement; and (b) Neither Licensor nor any Affiliate of Licensor has granted any third party a license to use during the Term the Trademarks in violation of Licensee’s exclusive rights hereunder, and no such other license shall be granted to any other party during the Term.

Licensor’s Representations and Warranties. Licensor LICENSOR represents and warrants to Licensee LICENSEE that: : (ai) It LICENSOR has the full right, power and authority to grant the rights herein granted to Licensee, including without limitation the right to license furnish the Trademarks Licensed Property, such Licensed Property does not and will not infringe any third party intellectual property rights, and LICENSOR will provide the Licensed Property hereunder free of all liens, claims, encumbrances and other restrictions; and (ii) LICENSEE shall be entitled to use and enjoy the benefit of the Licensed Property, subject to and in accordance with the terms of this Agreement; and (b) Neither Licensor nor any Affiliate of Licensor has granted any third party a license to use during the Term the Trademarks in violation of Licensee’s exclusive rights hereunder, and no such other license shall be granted to any other party during the Term.

Licensor’s Representations and Warranties. Licensor represents and warrants to Licensee that: : (ai) It it has the full right, power and authority to grant the rights herein granted to Licensee, including without limitation the right to license grant licenses in and to the Trademarks Licensed Properties, except as set forth in accordance with this AgreementSection 8.7; and (bii) Neither Licensor nor it has not licensed any Affiliate of Licensor has granted Licensed Property to any third party a license for use on Mobile Telephony Devices anywhere in the world, except as set forth in Section 2.3; and (iii) it has the sole and exclusive right to use during the Term the Trademarks in violation of Licensee’s exclusive rights hereunder, grant each and no such other license shall be granted to any other party during the Termevery right herein granted.

Licensor’s Representations and Warranties. Licensor represents and warrants to Licensee that: (a) It has it is a legal and beneficial owner of the right, title, and interest in and to the Licensed Marks, with full right, power authorization, and authority all required consents (including from any and all necessary third parties or co-owners) to grant the rights herein granted under this Agreement to Licensee, including without limitation the right to license the Trademarks in accordance with this AgreementLicensee and perform Licensor’s obligations hereunder; and (b) Neither Licensor nor any Affiliate of Licensor it has not granted any third party a license to use and during the Term will not grant any licenses that conflict with the Trademarks in violation of Licensee’s exclusive license and rights hereunder, and no such other license shall be granted to any other party during the TermLicensee under this Agreement.

Licensor represents and warrants to Licensee that: (a) It has the full right, power and authority to grant the rights herein granted to Licensee, including without limitation the right to license the Trademarks in accordance with this Agreement; and (b) Neither Licensor nor any Affiliate of Licensor has granted any third party a license to use during the Term the Trademarks in violation of Licensee’s 's exclusive rights hereunder, and no such other license shall be granted to any other party during the Term.

Licensor’s Representations and Warranties. Licensor represents and warrants to Licensee thatas follows: (a) It Licensor has the full right, power legal right and authority to enter into, execute and deliver this Agreement and grant the rights herein granted to Licensee, including without limitation the right to license the Trademarks in accordance with this Agreement; andLicensee contemplated herein; (b) Neither this Agreement constitutes a legal, valid and binding obligation enforceable against Licensor nor in accordance with its terms; (c) The execution of this Agreement is not violative of any Affiliate of charter, by-laws or any law, regulation or agreement by which Licensor has granted any third party a license is bound or to use during the Term the Trademarks in violation of Licensee’s exclusive rights hereunder, and no such other license shall be granted to any other party during the Termwhich it is subject.

Licensor’s Representations and Warranties. Licensor represents and warrants to Licensee that: that (ai) It it has the full right, power and authority to grant enter into and perform this Agreement and no other consents, permissions or approvals are required for use of the Property, (ii) LicenseeProducer’s full exercise of the Rights will not violate or infringe upon the copyright or trademark rights herein of any third parties in and to the Property, and (iii) no rights have been granted to Licensee, including without limitation the right to license the Trademarks in accordance with this Agreement; and (b) Neither Licensor nor any Affiliate of Licensor has granted any third party a license to use during in contravention of the Term the Trademarks in violation of Licensee’s exclusive rights hereunder, and no such other license shall be Rights granted to any other party during the TermLicenseeProducer hereunder.
