Lien Certificate Clause Samples
Lien Certificate. Administrative Agent shall have received a record owner and lien certificate or similar certificate issued in connection with its title insurance policy, in form and substance satisfactory to Administrative Agent, and, if, necessary, amendments to the Mortgages, Assignments of Leases and Rents and title insurance policies to reflect any increase in the Aggregate Commitments, in each case, in form and substance satisfactory to Administrative Agent.
Lien Certificate. Lender shall have received a certificate of a Responsible Officer of Borrower to the effect that the Collateral is not subject to any Lien, except Liens created by the Facility Agreements.
Lien Certificate. The Funding Agent and the Surety Provider shall have received a certificate of a Responsible Officer of each of the Seller and Recco to the effect that the Purchased Contracts are not subject to any Lien, except Liens created by the Operative Documents.
Lien Certificate. Owner will deliver to Lender, a statement of Owner in the form of Exhibit J attached to this Agreement to the effect that no financing statements, tax liens or judgment liens encumber any of the Property other than financing statements in favor of Agent.
Lien Certificate. The Lender shall have received a certificate of an Authorized Officer of each of the Originators and the Borrower to the effect that the Receivables are not subject to any Lien, except for Permitted Liens.
