Lien Searches and UCC Termination Statements. Delivery to -------------------------------------------- Syndication Agent and Administrative Agent of (a) the results of a recent search, by a Person reasonably satisfactory to Syndication Agent and Administrative Agent, of all effective UCC financing statements and fixture filings and all judgment and tax lien filings which may have been made with respect to any personal or mixed property of any Loan Party, together with copies of all such filings disclosed by such search, and (b) UCC termination statements duly executed by all applicable Persons for filing in all applicable jurisdictions as may be necessary to terminate any effective UCC financing statements or fixture filings disclosed in such search (other than any such financing statements or fixture filings in respect of Liens permitted to remain outstanding pursuant to the terms of this Agreement).

Delivery to -------------------------------------------- Syndication Agent and Administrative Agent Joint-Lead Arrangers of (a) the results of a recent search, by a Person reasonably satisfactory to Syndication Agent and Administrative AgentJoint-Lead Arrangers, of all effective UCC financing statements and fixture filings and all judgment and tax lien filings which may have been made with respect to any personal or mixed property of any Loan Party, together with copies of all such filings disclosed by such search, and (b) duly completed UCC termination statements duly executed by all and authorization of the filing thereof from the applicable Persons for filing in all applicable jurisdictions secured party as may be necessary to terminate any effective UCC financing statements or fixture filings disclosed in such search (other than any such financing statements or fixture filings in respect of Liens permitted to remain outstanding pursuant to the terms of this Agreement).; and

Delivery to -------------------------------------------- Syndication Agent and Administrative Collateral Agent of (a) the results of a recent search, by a Person reasonably satisfactory to Syndication Agent and Administrative AgentAgents, of all effective UCC financing statements and fixture filings and all judgment and tax lien filings which may have been made with respect to any personal or mixed property of any Loan Party, together with copies of all such filings disclosed by such search, and (b) UCC termination statements duly executed by all applicable Persons for filing in all applicable jurisdictions as may be necessary to terminate any effective UCC financing statements or fixture filings disclosed in such search (other than any such financing statements or fixture filings in respect of Liens permitted to remain outstanding pursuant to the terms of this Agreement).;

Delivery to -------------------------------------------- Syndication Agent and Administrative Agent Bank of (a) the results of a recent search, by a Person reasonably satisfactory to Syndication Agent and Administrative AgentBank, of all effective UCC financing statements and fixture filings and all judgment and tax lien filings which may have been made with respect to any personal or mixed property of any Loan PartyCompany and Subsidiary Guarantors, together with copies of all such filings disclosed by such search, and (b) UCC termination statements duly executed by all applicable Persons the Flooring Lenders as of the Closing Date (other than Deutsche and IBM Credit Corporation), for filing in all applicable jurisdictions as may be necessary to terminate any effective UCC financing statements or fixture filings disclosed listing such Flooring Lenders as the secured party; provided that such UCC termination statements may be delivered after the Closing Date in such search (other than any such financing statements or fixture filings in respect of Liens permitted to remain outstanding pursuant to the terms of this Agreement).accordance with subsection 6.9 hereof; and
