Limitation of Administrator’s Authority under the Contracts. Unless mutually agreed by the Parties, Manager shall not be permitted to re-release or change any primary receipt or primary delivery points associated with any of the Contracts included in the Assets. In addition, Manager shall not enter into any storage inventory transfer with any third party during the Term unless such transfer is approved in advance by UGI. UGI shall grant approval for such inventory transfers in its reasonable discretion if Manager demonstrates that such transfers shall not interfere with Manager’s ability to meet the delivery and storage refill requirements of this Agreement.
