SHOPPING PLANET agrees to permit access to the Technology by only those employees with a need to have access and will cause such employees and/or consultants who are permitted access to sign a confidentiality agreement in a form which includes the degree of care that NETGATEWAY utilizes to protect its own confidential information of similar nature which shall be no less than a reasonable degree of care.
