Limitation on Liability of Members. Subject to the restrictions in Section 4.6, no Member will have any liability to the Company or to the other Member for any loss suffered by the Company or the other Member that arises out of any action or inaction of the Member as long as the Member’s conduct was in good faith and the Member reasonably believed that the conduct was in the best interests of the Company.
