Limitations on Authority of Partners. Except as otherwise expressly provided herein, no Partner shall, without the prior written consent of each of the other Partners: (a) be, or purport to be, entitled to transact any business on behalf of the Partnership or make any commitment on behalf of or otherwise obligate or bind the Partnership or to act as agent of any other Partner; or (b) in its capacity as a Partner, make any commitment on behalf of or otherwise obligate or bind any other Partner.
