Limitations on Development Clause Samples

The "Limitations on Development" clause sets boundaries on the types, scope, or extent of development activities permitted under an agreement. Typically, it may restrict certain uses of land, cap the size or height of structures, or prohibit specific types of construction or modifications. For example, it might prevent building beyond a certain number of floors or require adherence to environmental regulations. The core function of this clause is to ensure that development proceeds within agreed parameters, thereby protecting the interests of stakeholders and preventing disputes over unauthorized or excessive development.
Limitations on Development. After the Signing Date and during the Term, neither Party nor any of its Affiliates shall, directly or through any Third Party, sponsor, conduct or cause to be conducted, otherwise assist in, or supply any Collaboration Product for use in connection with, or otherwise fund, any Clinical Trial of any Collaboration Product outside of the Development Plan, without the prior written consent of the other Party.
Limitations on Development. Except as specifically provided herein, all activities of the parties outside of this Agreement are outside of the scope of this Agreement, and nothing herein is intended to limit Genetronics or its Affiliates from using the Genetronics Technology and any Joint Patent Rights or Ethicon or its Affiliates from using any Joint Patent Rights for other purposes.

(ii) Except as expressly approved in advance in writing by the Parties, neither XOMA, nor any of its Affiliates, licensees or sublicensees shall, directly or through any Third Party, sponsor, conduct or cause to be conducted, otherwise assist in, supply any Licensed Antibody or Product for use in connection with, fund or otherwise support any human clinical trial (including without limitation any investigator sponsored studies) using such Licensed Antibody or Product for any indication or use in the Cardiometabolic Field, in the Retained Territory.
Limitations on Development. During the Term, except as expressly approved in advance in writing by the other Party, neither Party nor any of its Affiliates shall, directly or through any Third Party, sponsor, conduct or cause to be conducted, otherwise assist in, supply any Licensed Compound or Licensed Product for use in connection with, fund or otherwise support any preclinical studies, non-clinical studies or Clinical Study (including without limitation, any Investigator-Sponsored Trial) using such Licensed Compound or Licensed Product for any Retained Indication in the Territory.
Limitations on Development. During the term of this Agreement, neither BMS nor EXEL nor any of its Affiliates shall, directly or through any Third Party, sponsor, conduct or cause to be conducted, otherwise assist in, supply any Co-Developed Product (or an XL281 Product in the case of EXEL) for use in connection with, or otherwise fund, any clinical trial or clinical study of such Product outside of the Global Development Plan or any Annual Development Plan, without the prior written consent of such other Party.
Limitations on Development. No portion of the Property may be developed prior to the City’s final approval of a Site Plan Review and Conditional Use Permit to construct a public elementary school on the Property. In the event the District cannot obtain Site Plan Review and Conditional Use Permit approval for an elementary school within two years of the execution of this Agreement, or if the agreement between the District and the Owner to convey the Property is terminated before the conveyance, the parties will cooperate to effectuate a withdrawal the Property from the City limits pursuant to ORS 222.460. The District will bear all costs for the withdrawal. The District and the Owner agree not to object to such withdrawal, and, in the event of withdrawal, this Agreement will terminate. If the agreement between the District and the Owner to convey the property is terminated, the District and the Owner will jointly provide notice of the termination to the City.

(b) During the Term, [***], neither [***] nor any of its Affiliates shall, directly or through any Third Party, sponsor, conduct or cause to be conducted, otherwise assist in, supply [***] for use in connection with, fund or otherwise support any Clinical Trial (including without limitation any investigator sponsored studies) using [***].
Limitations on Development. During the term of this Agreement, neither Party nor any of its Affiliates shall, directly or through any Third Party, sponsor, conduct or cause to be conducted, otherwise assist in, supply any Co-Developed Product (or an XL281 Product in the case of Exelixis) for use in connection with, or otherwise fund, any clinical trial or clinical study of such Product outside of the Global Development Plan or any Annual Development Plan, without the prior written consent of the other Party.
Limitations on Development. No portion of the Property may be developed prior to the City's final approval of a Major Community Master Plan. Development of the Property under the Major Community Master Plan will be subject to additional land use and permit approval as provided in the Bend Development Code.
