Common use of Limitations; Ownership Clause in Contracts

Limitations; Ownership. Except in the event ▇▇▇▇▇▇▇.▇▇▇ ---------------------- exercises the Option to Purchase and except for the rights stated in Section 2, (i) ▇▇▇▇▇▇▇.▇▇▇ is granted no rights in Trio, and Company expressly reserves to itself all rights not granted to ▇▇▇▇▇▇▇.▇▇▇, and (ii) Company retains exclusive ownership of Trio as well as any modifications and derivative works of Trio created by ▇▇▇▇▇▇▇.▇▇▇ which do not incorporate ▇▇▇▇▇▇▇.▇▇▇ code or proprietary portions thereof. In the event ▇▇▇▇▇▇▇.▇▇▇ elects not to exercise the Option to Purchase, ▇▇▇▇▇▇▇.▇▇▇ shall immediately provide Company with all modifications and derivative works of Trio created by ▇▇▇▇▇▇▇.▇▇▇, unless such modifications and derivative works incorporate ▇▇▇▇▇▇▇.▇▇▇ software code or proprietary portions thereof. After ▇▇▇▇▇▇▇.▇▇▇ exercises the Option to Purchase, it shall own any modifications and derivative works of Trio that it creates during the Option Period. ▇▇▇▇▇▇▇.▇▇▇ will not alter or remove any proprietary rights notice in the Source Code of Trio or the documentation therefore unless ▇▇▇▇▇▇▇.▇▇▇ exercises the Option to Purchase.
