Common use of Limits on Liability Clause in Contracts

Limits on Liability. Subject to clauses 10.1 and 10.2, the liability of each party under or in relation to this Agreement (whether the liability concerned arises as a result of breach of contract, negligence, misrepresentation or for any other reason) shall be limited as follows: (a) In respect of any given claim, to the greater of: (i) An amount equal to the total amount of commission arising due to the Representative under this Agreement during the period of 12 months immediately preceding the month in which the relevant claim arose; or (ii) GBP250,000; and (b) In of all claims in the aggregate under or in relation to this Agreement, to the sum of GBP1,500,000.
