Liquidation of Collateral Clause Samples

The Liquidation of Collateral clause defines the process by which a lender or secured party may sell, transfer, or otherwise dispose of collateral assets in the event of a borrower's default. Typically, this clause outlines the conditions under which liquidation can occur, the methods for selling the collateral (such as public auction or private sale), and the application of proceeds to outstanding debts. Its core practical function is to provide a clear and enforceable mechanism for recovering owed amounts by converting pledged assets into cash, thereby mitigating the lender's risk in case of non-payment.
