Common use of List of Prior Inventions Clause in Contracts

List of Prior Inventions. All inventions, if any, which Employee made prior to commencement of the Employment Relationship are excluded from the scope of this Agreement. As a matter of record, Employee has set forth on Exhibit B attached hereto a complete list of all inventions, discoveries or improvements relating in any way to the business or proposed business of the Company which have been made by Employee, alone or jointly with others, prior to commencement of the Employment Relationship. Employee represents and warrants that such list is complete and that, to the best of Employee’s knowledge, the removal of inventions listed thereon from the operation of this Agreement will not materially affect Employee’s ability to perform the duties to the Company arising by reason of the Employment Relationship.
