List of Subsidiaries. Section 3.4(b) of the Parent Disclosure Letter sets forth all Parent Subsidiaries (other than Merger Sub) and the ownership interest of each Parent Subsidiary held, directly or indirectly, by Parent. The Parent Subsidiaries are not in violation of their respective organizational documents. Except for the Parent Subsidiaries listed in Section 3.4(b) of the Parent Disclosure Letter, neither Parent nor any of its Subsidiaries directly or indirectly owns any equity, partnership, membership or similar interest in, or any interest convertible into, exercisable for the purchase of or exchangeable for any such equity, partnership, membership or similar interest, or is under any current or prospective obligation to form or participate in, provide funds to, make any loan, capital contribution or other investment in, or assume any liability or obligation of, any Person.
