Litigating Subdivision Sample Clauses

The Litigating Subdivision clause defines how legal disputes related to a contract or agreement will be handled within specific geographic or administrative subdivisions, such as counties, districts, or states. Typically, this clause specifies which court or jurisdiction will have authority over any litigation arising from the agreement, ensuring that all parties know where legal proceedings must be initiated. By clearly designating the appropriate venue for lawsuits, the clause helps prevent confusion, forum shopping, and jurisdictional disputes, thereby streamlining the resolution of potential legal conflicts.
Litigating Subdivision. A Subdivision (or Subdivision official) that brought any Released Claim against any Released Entity prior to the Trigger Date; provided, however, that a Subdivision (or Subdivision official) that is a Prior Litigating Subdivision shall not be considered a Litigating Subdivision. Exhibit C is an agreed list of all Litigating Subdivisions. Exhibit C will be updated (including with any corrections) periodically, and a final version of Exhibit C will be attached hereto as of the Reference Date.
