Common use of Litigation Certificate Clause in Contracts

Litigation Certificate. SHRV shall have been furnished with certificates dated as of the Closing Date and signed by a duly authorized officer of TTM to the effect that no litigation, proceeding, investigation, or inquiry is pending, or to the best knowledge of TTM threatened, which might result in an action to enjoin or prevent the consummation of the transactions contemplated by this Agreement, or, to the extent not disclosed in the TTM Schedules, by or against TTM, which might result in any material adverse change in any of the assets, properties, business, or operations of TTM.

SHRV TTM shall have been furnished with certificates dated as of the Closing Date and signed by a duly authorized officer executive officers of TTM SHRV, to the effect that no litigation, proceeding, investigation, investigation or inquiry is pending, or to the best knowledge of TTM SHRV threatened, which might result in an action to enjoin or prevent the consummation of the transactions contemplated by this Agreement, Agreement or, to the extent not disclosed in the TTM SHRV Schedules, by or against TTMSHRV, which might result in any material adverse change in any of the assets, properties, business, properties or operations of TTMSHRV.
