Litigation; Governmental Orders. Except as set forth on Section 3.17 of the Disclosure Schedules, (a) there have been no material Actions in the past three (3) years and there are no material Actions pending or, to Sellers’ Knowledge, threatened against an Acquired Company and (b) no material Governmental Order is, or during the last three (3) years has been, outstanding that is directed or addressed specifically to or adversely affecting in any material respect any Acquired Company or any Acquired Companies’ properties or rights.
