Litigation; Governmental Orders. With respect to G-Path’s conduct of the Business, as of the Execution Date, (a) there is no Action to which G-Path is a party (either as plaintiff or defendant), or to Seller’s Knowledge, threatened and (b) no Order has been issued which is applicable to G-Path or G-Path’s Business, in each case, where such Action or Order would be material to the Business.
