Common use of Local Representative Clause in Contracts

Local Representative. If Sponsor desires to conduct a trial in one or more countries that require a local sponsor or representative (the “Local Representative”): (a) to indemnify sites for harm caused by the trial drug or medical device, or (b) otherwise assume primary responsibility for: (i) the trial drug or medical devices, (ii) acting as the importer of record for any trial drug, devices or other goods, or (iii) the trial in general, including without limitation any procedures required by the protocol, Sponsor may request that Quintiles serve as Local Representative in such countries. If Quintiles agrees that one or more of its affiliates will act as Local Representative for Sponsor for a particular trial, the parties will negotiate and enter into a separate agreement specifying the terms of Quintiles affiliates acting as Sponsor’s Local Representative.
