Location and Date. The consummation of the transactions contemplated by this Agreement (the "Closing") shall take place at the offices of Wilmer, Cutler & Picker▇▇▇ ▇n t▇▇ ▇▇▇e t▇▇▇ ▇▇▇ ▇PO is scheduled to close, providing that all conditions to Closing shall have been satisfied or waived, or at such other time and date as Parent and the Owners' Representative may mutually agree, which date shall be referred to as the "Closing Date."
