Lock-Up Period for the Company and Others Clause Samples

The "Lock-Up Period for the Company and Others" clause restricts the company and certain related parties from selling, transferring, or otherwise disposing of their shares for a specified period following a public offering or other significant event. Typically, this clause applies to company insiders such as executives, directors, and major shareholders, preventing them from flooding the market with shares immediately after an IPO or similar transaction. Its core practical function is to maintain market stability and investor confidence by ensuring that key stakeholders retain their investment in the company for a set duration, thereby reducing the risk of sudden price drops due to large-scale share sales.
