Common use of Long Stop Date Clause in Contracts

Long Stop Date. The Parties jointly undertake to use their reasonable best efforts to procure the fulfilment of all the conditions precedents and the occurrence of the Closing as soon as possible but in any event within twelve(12) months after the Effective Date (the “Long Stop Date”) or such later date as may be agreed by the Parties in writing.
