Maintenance of Quality Clause Samples

Maintenance of Quality. In the course of marketing, promoting, advertising, distributing, providing and selling the Goods and Services under the Marks, Teacher shall maintain and adhere to standards of quality provided below at Schedule B and those imposed by law. Such quality standards are designed to ensure that the quality of the Goods and Services furnished under the Marks are consistent with the high reputation of the Marks and conform with applicable laws. Whenever SVA wishes to change the quality standards, it will notify Teacher of such changes, and will give Teacher reasonable time to make the changes required for Teacher to conform to the amended quality standards. To maintain quality standards, SVA and its authorized representatives shall have the right, but not the obligation, to inspect, monitor, and evaluate facilities and teaching practices used to furnish the Goods and Services.

Maintenance of Quality. (a) Adherence to Quality Standards. In the course of marketing, ------------------------------ promoting, advertising, distributing, leasing and selling Sprint PCS Products and Services and Premium and Promotional Items under the Licensed Marks, Licensee shall maintain and adhere to standards of quality and specifications that conform to or exceed those quality standards and technical and operational specifications adopted and/or amended in the manner provided below ("Quality Standards") and those imposed by Law. Such Quality Standards are designed to ensure that the quality of the Sprint PCS Products and Services and Premium and Promotional Items marketed, promoted, advertised, distributed, leased and sold under the Licensed Marks are consistent with the high reputation of the Licensed Marks and are in conformity with applicable Laws.

Maintenance of Quality. In connection with the use of the Licensed Marks, each IP Licensee shall maintain, adhere to and conform with the standards of quality and specifications described below, or such other standards or specifications that may be adopted and approved by Abacus from time to time during the term, and provided to the IP Licensees.

Maintenance of Quality. 01A Licensee agrees that in order for Licensor to properly provide the Technical Assistance to Licensee pursuant to this Agreement, Licensee shall strictly comply, in the Production of the Products hereunder, with all specifications and quality standards that are reasonably established by Licensor for Production of the Products. Licensee agrees to submit to Licensor, as Licensor reasonably requests, Licensee's quality control and inspection data in such form as may be reasonably established by Licensor for its inspection. Licensee shall keep, during and for [*] after the terms of this Agreement, copies of such quality control and inspection data so furnished to Licensor. Licensee agrees, upon reasonable request of Licensor, to send to Licensor samples of Products or the Components obtained by Licensee or its Sub-Licensee in reasonable quantities. Licensor may give Licensee, as promptly as possible, such Technical Assistance and such pertinent advice and/or instructions in written form in English with respect to the Products and/or Components, as shall be necessary in the reasonable opinion of Licensor after inspecting and/or testing such samples and/or after reviewing the reports of quality control, inspection and/or manufacturing data.

Maintenance of Quality. In the course of operating and marketing the Center in connection with the Licensed Mark, LICENSEE shall maintain an▇ ▇▇here to standards of quality and technical specifications that may be in effect and/or adopted and approved by Callaway Golf, in its sole and absolute discretion, from time to time during the term of this Agreement including, but not limited to, the approval and review rights of Callaway Golf with respect to the operation of the Center as set forth in the Operating Agreement of LICENSEE ("Standards and Specifications"). The Standards and Specifications are designed to ensure that the operation and marketing of the Center are consistent with the reputation enjoyed by Callaway Golf and the Licensed Mark.

Maintenance of Quality. Before selling, distributing or promoting any Licensed Article, Licensee will deliver to Licensor for its approval, free of charge, one prototype sample of each such Licensed Article together with prototype tags, labels and packaging and other ancillary material to be used in connection therewith. In addition, upon Licensor's request, Licensee will deliver to Licensor, free of charge, initial and/or then current production samples of each Licensed Article produced hereunder together with the tags, labels and packaging being used in connection therewith so that Licensor may assure itself of the maintenance of the quality standards set forth herein. Licensor and its duly authorized representatives will have the right, upon reasonable advance notice and during normal business hours, to examine Licensed Articles in the process of being manufactured and to inspect all facilities utilized by Licensee and its contractors in connection therewith.

Maintenance of Quality. 4.1.1 In the course of using the Home Depot Marks to market the USRI Products and Services, USRI shall maintain and adhere to specifications and standards of quality with respect to the Home Depot Marks that conform to or exceed those specifications and quality standards provided to USRI by ▇▇▇▇▇ and/or Home Depot (the “Home Depot Standards”) and those imposed by law. 4.1.2 In the event that ▇▇▇▇▇ and/or Home Depot desires to change the Home Depot Standards, they will notify USRI in writing of such changes, and will afford USRI a reasonable time period in which to adopt such changes as may be required for USRI to conform to the changed Home Depot Standards.
