A Maintenance/Operation clause defines the responsibilities and standards for maintaining and operating equipment, property, or systems covered by an agreement. It typically outlines which party is responsible for routine upkeep, repairs, and compliance with applicable regulations or manufacturer guidelines. For example, in a lease, the tenant may be required to keep the premises in good condition, while the landlord handles major structural repairs. Maintenance/Operation. We will provide you with an initial copy of the Owner’s Manual(s) for your Products (which may be updated from time to time, the “Owner’s Manuals”). The Owner’s Manuals provide operation and maintenance instructions, answers to frequently asked questions, troubleshooting tips and service information. You must maintain and operate your Products in accordance with the instructions in the Owner’s Manuals.
Maintenance/Operation. The regular work week shall consist of forty (40) hours per week, Sunday to Saturday.
Maintenance/Operation. Tesla will provide Buyer with an initial copy of an applicable storage system operation and maintenance guide (as updated by Tesla from time to time, the “Manuals”). Optionor shall, subject to this Section 5, continue to operate and maintain the Property in a commercially prudent manner and consistent with its past business practices, and in any event in compliance with the terms of the Leases and any documents or instruments evidencing or otherwise securing the Property Indebtedness.

At its sole expense, Lessee will: (a) repair and maintain the Equipment in good condition and working order in accordance with manufacturer’s instructions; (b) supply and install all replacement parts or other devices when required to so maintain the Equipment or when required by applicable law or regulation, which parts or devices shall automatically become part of the Equipment; (c) use all Equipment in a careful manner in the normal course of its operations and only for the purposes for which it was designed in accordance with the manufacturer’s warranty requirements; and (d) comply with all laws and regulations relating to the Equipment. Lessor will not provide any maintenance or other service for any Equipment. Lessee will not make any alterations, additions or improvements (“Improvements”) to any Equipment without Lessor’s prior written consent unless the Improvements may be readily removed without damage to the operation, value or utility of the Equipment, but any such Improvements not removed prior to this Lease’s termination shall automatically become part of the Equipment.
Maintenance/Operation. Seller shall conduct its business with respect to the Properties in a reasonable and prudent manner in the ordinary course of its business consistent with past practice.

Seller shall maintain and operate the Property in substantially the same manner as prior hereto pursuant to its normal course of business (such maintenance obligations not including extraordinary capital expenditures or expenditures not incurred in such normal course of business), subject to reasonable wear and tear and further subject to destruction by casualty or other events beyond the reasonable control of Seller. Without limitation of the foregoing, Seller shall use reasonable efforts to maintain its current insurance.

Seller shall cause the --------------------- Property to be maintained, repaired and operated in the same manner as prior hereto pursuant to its normal course of business (including making capital expenditures and expenditures of FF&E reserves in such normal course of business). Such continuing operation shall include delivering Property to Buyer at Closing with customary levels of inventories and supplies.

Seller shall use commercially reasonable efforts to maintain and operate the Property in substantially the same manner as prior hereto pursuant to its normal course of business (such maintenance obligations not including capital expenditures or expenditures not incurred in such normal course of business), subject to reasonable wear and tear and further subject to destruction by casualty, condemnation or other events beyond the reasonable control of Seller. Without limitation of the foregoing, Seller shall use commercially reasonable efforts to maintain its current insurance. Notwithstanding the foregoing, Seller may (but shall not be obligated to), as part of its normal course of business, pursue tenant improvements under the Leases.

From the Effective Date through Closing or the earlier termination of this Agreement, and subject to Sections 6.2 and 6.3 and other events beyond the reasonable control of Seller and reasonable wear and tear, Seller shall use reasonable efforts to maintain and operate the Property in substantially the same manner as prior to the Effective Date pursuant to its normal course of business (such maintenance obligations not including capital expenditures or expenditures not incurred in such normal course of business).
