Malware; Viruses Clause Samples

The 'Malware; Viruses' clause defines the responsibilities and obligations of parties regarding the prevention, detection, and management of malicious software such as viruses, worms, or other harmful code. Typically, this clause requires each party to implement reasonable security measures to prevent the introduction or transmission of malware through their systems or communications, and may obligate prompt notification and remediation if an incident occurs. Malware; Viruses. Users shall take care not to access, transmit, download, or store any virus, corrupted data or other harmful or destructive files that may damage or disrupt the performance of the Network.
Malware; Viruses. Participant and each HIN shall each use commercially reasonable efforts to protect the SHIN-NY Platforms from malware, viruses, and threats that disrupt, damage, or destroy such SHIN-NY Platforms or the Participant Tech, including, but not limited to, by implementing commercially reasonable security measures protecting the SHIN-NY Platforms in accordance with the SHIN-NY SOPs. Without limiting the foregoing, Participant and each HIN shall each use commercially reasonable efforts to ensure that, as applicable, the Contribution or the use or provision of services through the SHIN-NY Platforms does not include or introduce any program, routine, subroutine or data (including, without limitation, malicious software or other malware viruses, worms, and Trojan Horses) that will disrupt the proper operation of the SHIN-NY Platforms, the Participant Tech or any hardware or software used by an HIN in connection therewith, or any part thereof, or which, upon the occurrence of a certain event, the passage of time, or the taking of or failure to take any action will cause the SHIN-NY Platforms or any part thereof or any hardware, software, or data used by Participant, an HIN, or any other SHIN-NY participant to be destroyed, damaged, or rendered inoperable in connection therewith.
Malware; Viruses. Affiliate represents and warrants that Affiliate will not in any way, directly or indirectly, utilize any link implementation or engage in other activities which may include any computer “virus”, back door, fire bomb, trojan horses, worm, or any other similar harmful, malicious, or hidden programs, code, or data.

  • Viruses The Fund agrees to use reasonable efforts to prevent the transmission through the Electronic Services of any software or file which contains any viruses, worms, harmful component or corrupted data and agrees not to use any device, software, or routine to interfere or attempt to interfere with the proper working of the Electronic Services.

  • Antivirus software All workstations, laptops and other systems that process and/or store PHI COUNTY discloses to CONTRACTOR or CONTRACTOR creates, receives, maintains, or transmits on behalf of COUNTY must have installed and actively use comprehensive anti-virus software solution with automatic updates scheduled at least daily.

  • Virus Detection You will be responsible for the installation and proper use of any virus detection/scanning program we require from time to time.

  • Malicious Software Any software program or code intended to destroy, interfere with, corrupt, or cause undesired effects on program files, data or other information, executable code or application software macros, whether or not its operation is immediate or delayed, and whether the malicious software is introduced wilfully, negligently or without knowledge of its existence. Management Charge The sum paid by the Supplier to CCS being an amount of up to 1% but currently set at 0.75% of all Charges for the Services invoiced to Buyers (net of VAT) in each month throughout the duration of the Framework Agreement and thereafter, until the expiry or End of any Call-Off Contract. Management Information The management information specified in Framework Agreement Schedule 6. Material Breach Those breaches which have been expressly set out as a Material Breach and any other single serious breach or persistent failure to perform as required under this Call-Off Contract.

  • Virus Warranty The Contractor represents and warrants that Licensed Software contains no known viruses. Contractor is not responsible for viruses introduced at Licensee’s site.
