MANAGEMENT CONDUCT. The Members each will cause the officers ------------------ and employees of the Company promptly and diligently to perform the duties contemplated by this Agreement. If a Member willfully fails to perform its obligation under the foregoing sentence to the material detriment of the other Members and fails to cure such failure within 30 days after Notice by another Member, such Member will cease to have voting rights as to the actions described in 6.2[b] through 6.2[d] and as to any agreement by the Company to take any of such actions.
MANAGEMENT CONDUCT. The Managing Member will cause the officers and employees of the Company promptly and diligently to perform the duties contemplated by this Agreement.
MANAGEMENT CONDUCT. Management is expected to conform to the standard of conduct expected of public employees and is expected to refrain from activity which is in violation of federal, state, or county law, or the County Employer-Employee Relations Policy.
MANAGEMENT CONDUCT. The Members each will cause the officers and ------------------ employees of the Company promptly and diligently to perform the duties contemplated by this Agreement. If a Member willfully fails to perform its obligations under the foregoing sentence to the material detriment of the other Members and fails to cure such failure within 30 days after Notice by another Member, such Member will immediately lose its right to take part in the selection or termination of any CEO, CFO and COO and will cease to have voting rights as to the actions described in 6.2[b] through 6.2[d] and as to any agreement by the Company to take any of such actions.
MANAGEMENT CONDUCT. By executing and delivering this agreement as provided above, Management and Shareholders owning 5.1% or more of equity in OTR agree as follows to the following conduct provision. 1. Not to supply any non-public information concerning OTR’s business, properties or assets to anyone who may be contemplating being involved in the business of OTR or LIMELIGHT GROUP, or disclose to anyone (other than representatives and legal or accounting advisers on a “need-to-know” basis) the existence or terms of this letter. .
