Management Procedures. Manager will consult with Owner on a periodic and regular basis with respect to the management of the Hotel. Manager, on behalf of Owner, may take all actions it deems appropriate for the operation of the Hotel and will carry out all written directives of Owner, excepting directives (i) contrary to law, (ii) inconsistent with the contractual obligations of Owner or (iii) which will subject Manager to liability above and beyond Manager's responsibilities contemplated by this Agreement Owner's written directives will be delivered to Manager's regional vice president of operations responsible for the Hotel and not the general manager on site at the Hotel.
