Management Review. Within 60 days of this Agreement, the board of directors of the Bank shall complete an assessment of the Bank’s management and staffing needs (the “Management Review”). The primary purpose of the review shall be to aid in the development of a suitable management structure commensurate with the size and complexity of the Bank that is adequately staffed by qualified personnel. The Management Review shall, at a minimum, address, consider, and include:

The Association is to be notified of the resolution of all other formal grievances. The manager, or appropriate designee, shall meet with the employee within ten (10) business days of the date of service of the grievance form at this Step to discuss the facts and solicit information on possible solutions or other appropriate administrative procedures. The manager will provide a written response to the employee within ten (10) business days of meeting with the employee. Failure of Management to respond within the time limit shall entitle the grievant to process the grievance to the next step.
Management Review. The Company’s management have reviewed and agreed with the selection, application and disclosure of critical accounting policies and have consulted with its legal advisers and independent accountants with regards to such disclosure.
Management Review. (a) Unless otherwise mutually agreed to by the parties, on or before January 1, 2001, Fingerhut and Metris agree to evaluate the Marketing Management Fee and the Underwriting and Servicing Fee (collectively, the "Fees") as set forth in this Agreement and Exhibit. The identity of the three Independent Providers who are sent RFPs and the assumptions/parameters to be set forth in the RFPs will be as mutually agreed upon by Fingerhut and Metris. The Independent Providers will be instructed to respond with bid proposals within 5 days of receipt of the RFPs. The parties agree to use the middle price bid proposal submitted by the Independent Providers as the market rate for the Fees for the services provided by Metris for the balance of the term of this Agreement. Any failure by the parties to reach mutual agreement on the market rate of the Fees as a result of the failure to agree on the Independent Providers to whom RFPs would be sent or on the assumptions/parameters of the RFPs under this subsection (b) shall not be deemed by either party to be a breach of this Agreement and unless otherwise terminated as provided herein, this Agreement shall remain in full force and effect. Management Review. Developer's executive management shall review the quality system at defined intervals sufficient to ensure its continuing suitability and effectiveness in satisfying the requirements of this standard and Developer's stated quality policy and objectives. Management reviews shall be held, at least, at three-month intervals. Records of such reviews shall be maintained. Minutes shall be taken of the review meetings, and these minutes shall be maintained as quality records. Copies of minutes shall be provided to IFA within 30 days.
