Manager’s Control. Subject to the terms of this Agreement, Manager shall have uninterrupted control over the operation of the Hotels. Owner acknowledges that under this Agreement, Owner delegates all authorities and responsibilities for operation of the Hotels to Manager provided, however, Manager shall not be entitled to make any agreement or commitment binding on Owner except as herein expressly provided. Manager shall be solely responsible for determining room rates, food and beverage menu prices, charges to guests for other Hotel services and the terms of guest occupancy and admittance to the Hotels, use of rooms for commercial purposes, policies relating to entertainment, labor policies, publicity and promotion activities and technology services and equipment to be used in the Hotel. Manager shall review with Owner from time to time, and during the annual review of the Yearly Budget, material changes in policies, practices and procedures and their effect on the financial performance of the Hotels.
Manager’s Control. Manager shall have uninterrupted control over the operation of the Hotel. Owner acknowledges that under this Agreement, except as may otherwise be expressly provided herein, Owner delegates all authorities and responsibilities for operation of the Hotel to Manager. Manager, in the exercise of reasonable discretion and business judgment and in accordance with the Yearly Budget, shall be solely responsible for determining room rates, food and beverage menu prices and charges to guests for other Hotel services. Manager shall also have sole responsibility, in the exercise of reasonable discretion and business judgment and in accordance with the Yearly Budget, to determine the terms of guest occupancy and admittance to the Hotel, use of rooms for commercial purposes, policies relating to entertainment, labor policies, publicity and promotion activities and technology services and equipment to be used in the Hotel. Manager shall review with Owner from time to time and during the annual review of the Yearly Budget material changes in policies, practices and procedures and their effect on the financial performance of the Hotel.
Manager’s Control. Subject to the terms and conditions of this Agreement, Manager shall have day-to-day responsibility for the operation of the Property. Manager shall, with the prior approval of Owner (which shall not be unreasonably withheld or delayed) determine, (a) rental rates and related concessions, and (b) charges to tenants for other Property services and for the use of the Property for all customary purposes. Manager shall, with Owner's supervision, determine (x) the terms of security at the Property, (y) policies relating to credit, and (z) all phases of publicity and promotion related to the Property. Notwithstanding the foregoing, Manager shall not decrease the minimum rental rates below, or increase the maximum tenant improvements allowance and other concessions above, the amounts which are specifically delineated therefor in the then adopted Annual Leasing Plan (as defined in Section 1(a)(xii) below) without first obtaining Owner's written consent thereto. Owner and Manager agree that, upon request from the other party, each promptly will deliver to the other, as the case may be, copies of all leases and amendments and modifications thereto and extensions, renewals and terminations thereof that may affect the Property from time to time.
Manager’s Control. Except as may otherwise be provided in this Agreement, Manager shall have uninterrupted control, and responsibility for management, security, operating policies and procedures, and overall operation of the Public Access Components. Accordingly, Manager, subject to the terms of this Agreement, shall determine the terms of operation, management, maintenance, security of the Public Access Components.
Manager’s Control. Manager will have uninterrupted control over the operation of the Casino. Owner agrees not to interfere or involve itself in any way with the day-to-day operation of the Casino; provided, however, nothing contained in this Article 6.06 is intended to interfere with any rights of Owner set forth in this Agreement.

Manager, to the extent feasible, shall consult with Leasehold Owner prior to the implementation of any material change in policies, practices and procedures, regarding their contemplated effect on the financial performance of the Hotel.
Manager’s Control. Manager will have uninterrupted control over the day to day operation of the Entertainment Facility. Owner agrees not to interfere or involve itself in any way with the day-to-day operation of the Entertainment Facility.

  • Synchronization, Commissioning and Commercial Operation 5.1.1 The SPG shall give PGVCL at least thirty (30) days’ advanced preliminary written notice and at least fifteen (15) days’ advanced final written notice, of the date on which it intends to synchronize the Solar Power Project to the Grid System. 5.1.2 Subject to Article 5.1.1, the Power Project may be synchronized by the SPG to the Grid System when it meets all the connection conditions prescribed in applicable Grid Code then in effect and otherwise meets all other Indian legal requirements for synchronization to the Grid System. 5.1.3 The synchronization equipment and all necessary arrangements / equipment including RTU for scheduling of power generated from the Project and transmission of data to the concerned authority as per applicable regulation shall be installed by the SPG at its generation facility of the Power Project at its own cost. The SPG shall synchronize its system with the Grid System only after the approval of synchronization scheme is granted by the head of the concerned substation/ and checking/verification is made by the concerned authorities of the PGVCL. 5.1.4 The SPG shall immediately after each synchronization/tripping of generator, inform the sub-station of the Grid System to which the Power Project is electrically connected in accordance with applicable Grid Code. In addition, the SPG will inject in-firm power to grid from time to time to carry out operational/ functional test prior to commercial operation. For avoidance of doubt, it is clarified that Synchronization / Connectivity of the Project with the grid shall not to be considered as Commissioning of the Project. 5.1.5 The SPG shall commission the Project within nine (9) Months from the Date of execution of this PPA. Declaration of COD shall be certified by the commissioning committee. 5.1.6 The Parties agree that for the purpose of commencement of the supply of electricity by SPG to PGVCL, liquidated damages for delay etc., the Scheduled Commissioning Date as defined in this Agreement shall be the relevant date.

  • Operational Control Directing the operation of the Transmission Facilities Under ISO Operational Control to maintain these facilities in a reliable state, as defined by the Reliability Rules. The ISO shall approve operational decisions concerning these facilities, made by each Transmission Owner before the Transmission Owner implements those decisions. In accordance with ISO Procedures, the ISO shall direct each Transmission Owner to take certain actions to restore the system to the Normal State. Operational Control includes security monitoring, adjustment of generation and transmission resources, coordination and approval of changes in transmission status for maintenance, determination of changes in transmission status for reliability, coordination with other Control Areas, voltage reductions and Load Shedding, except that each Transmission Owner continues to physically operate and maintain its facilities.
