Common use of Manner of Voting Clause in Contracts

Manner of Voting. A Member of the Company may vote at a meeting in person or by a proxy executed in Writing by the Member to another Member. A Manager or member of a committee of the Managers may vote at a meeting in person or by a proxy executed in Writing by the Manager to another Manager, or a committee member to another committee member, as the case may be. Except as provided in this Section, Members, Managers and committee members may not vote by proxy.
