Marketing Limitation in Demand Registration Sample Clauses
The "Marketing Limitation in Demand Registration" clause restricts the ability of parties to market or promote securities that are subject to a demand registration right. Typically, this clause prevents the holder from engaging in public marketing efforts, such as roadshows or advertising, before the registration statement becomes effective or without the issuer's consent. Its core function is to ensure compliance with securities regulations and to protect the issuer from premature or unauthorized publicity that could complicate the registration process or create liability.
