Balance due amounts previously billed by the Customer are not to be included as a message or other related charges to be billed by PACIFIC. Customer violation of this provision will materially affect the essence of this Agreement and will constitute substantial breach of its terms. PACIFIC reserves the right to return to the Customer any such messages prior to billing to the End User. In the event that PACIFIC places any such messages on an End User bill, PACIFIC reserves the right to adjust the End User bill for such messages. Adjustments will be recoursed to the Customer.

  • Software Maintenance Subrecipient shall apply security patches and upgrades in a timely manner and keep virus software up-to-date on all systems on which State data may be stored or accessed.

  • Hardware Maintenance Hardware Purchased from NCR Voyix or a Reseller is eligible for coverage under NCR Voyix’s Hardware Maintenance Policy for an additional monthly fee, provided however, that some restrictions apply. Subscribed Hardware includes Hardware Maintenance at no additional charge, subject to timely payment of all fees.   • Routine Maintenance (i) CRC shall be responsible for Routine Maintenance when necessary or desirable to maintain the Shared Assets in a safe operating condition, and to permit and facilitate (A) the performance by CRC of its obligations pursuant to this Agreement, and (B) the use of Shared Assets by the Operators in accordance with this Agreement. (ii) CSXT or NSR, directly or through their respective affiliates, may perform the work which CRC performed prior to the date of this Agreement when (A) CRC does not possess the skills needed for such work, (B) CRC lacks the necessary employees to do such work in a timely fashion, or (C) CRC does not possess the equipment needed to do such work. CRC and the party performing the work shall agree to a reasonable fee for such work prior to performance. CRC, CSXT and NSR may agree to have additional work performed either by CSXT, NSR or their affiliates.

  • Patent Maintenance All annuity and maintenance fees that are necessary in order to keep the Patents in force as of the Effective Date have been paid by Seller, and no payment of annuities or fees, or papers to be filed in patent offices, are required to be made within the three-month period after the Effective Date.

  • System Maintenance The Trust understands that USBFS will perform periodic maintenance to the System(s), which may cause temporary service interruptions. To the extent possible, USBFS shall notify the Trust of all planned outages and will perform any necessary maintenance during non-business hours.
