Material Compliance with Applicable Laws. Neither the Company nor any of its subsidiaries is in material violation of, and neither the execution, delivery nor performance of any of the Transaction Documents has or will result in a violation of, any federal, state, local or foreign law, rule, regulation, order, judgment or decree applicable to the Company or any of its subsidiaries, except that as of the date hereof the Company has not filed with the Securities and Exchange Commission the financial statements required by Item 9.01(a) and (b) of Form 8-K in connection with the Company’s acquisition of substantially all of the assets of KBS Building Systems, Inc. and its related entities on April 2, 2014.
