Material Contact. For purposes of this Agreement, the Participant will be deemed to have had "Material Contact" with a person or business entity if the Participant was provided or otherwise obtained Information (as defined above) concerning the person or entity, or the Participant had personal dealings with the person or entity in the normal course of the Participant's employment with the Company for the purpose of engaging or attempting to engage in matters related to the Company's business.
